SMIC's - US$200m issue of convertible bonds and further issue of convertible bonds to CIC and Datang Technology

Slaughter and May, Hong Kong, advised Semiconductor Manufacturing International Corporation (SMIC) in relation to its issue of US$200 million zero coupon convertible bonds due 2018 (the Bonds). The joint managers for the issue were J.P. Morgan Securities plc and Deutsche Bank AG, Hong Kong Branch. The Bonds were listed on the Singapore Stock Exchange on 8 November 2013.

SMIC may issue to the subsidiaries of Datang Holdings (Hong Kong) Investment Company Limited (Datang) and China Investment Corporation (CIC) an additional amount of Bonds up to an aggregate principal amount of US$54.6 million and US$32.2 million respectively, as a result of the exercise by them of their pre-emptive rights to subscribe for Bonds (the Pre-emptive Subscriptions) issued by SMIC pursuant to their earlier agreements with SMIC. The Pre-emptive Subscriptions will constitute connected transactions of SMIC and will be subject to shareholders' approval.

SMIC is principally engaged in semiconductor manufacturing and sales and is listed on the Hong Kong Stock Exchange and the NYSE. SMIC is one of the leading semiconductor foundries in the world and the largest and most advanced foundry in Mainland China. SMIC intends to use the proceeds of the Bonds for capital expenditure in relation to capacity expansion associated with 8-inch and 12-inch manufacturing facilities and general corporate purposes.

Datang is a PRC state-owned enterprise headquartered in Beijing. It is mainly engaged in the core business of TD-SCDMA (third generation 3G) mobile telecommunication, wireless access and integrated circuit design.

CIC is an investment institution established under the company law of the People's Republic of China in September 2007. CIC is operated strictly on a commercial basis, seeking long-term risk adjusted financial return.
