Squire Sanders’ Restructuring & Insolvency Practice Group, led by partner Paul Muscutt and assisted by Andrew Johnson and Johnny Dunkley, has acted for Leonard Curtis on the pre-pack sale of Meemi Limited, trading as my-wardrobe.com. My-wardrobe is an online retailer of women’s clothing based in London and Nottingham. The sale will save all 48 jobs at the company, including that of Carmen Borgonovo, former Harper's Bazaar Senior Fashion Editor, who will remain as fashion director.
Fashion e-tailer my-wardrobe was founded by Sarah Curran MBE in 2006 and born out of a desire to simplify the online clothes shopping experience for women. It employs a team of expert buyers, led by Carmen Borgonovo, to travel the world to source the finest ready-to-wear and accessories from over 200 luxury collections. Since its launch, the business has been financed through shareholder investment and loans totaling £15.4 million. However, due to cash flow pressures and losses the company Meemi was unable to raise the additional funding required to meet its on-going liabilities.
Joint Administrator Alex Cadwallader of Leonard Curtis said: “We are delighted to have completed the sale as a going concern. The outlook for my-wardrobe.com is extremely positive and we look forward to seeing the business flourish in the future.”
Squire Sanders’ London partner Paul Muscutt commented: “There were a number of significant challenges that we had to overcome to effect a seamless transfer of this business to the buyer. Stock creditors (and the administrators) had to be adequately protected but the buyer required instant access to the stock in order to continue to trade immediately following completion. Further, as an online business, retaining the existing online merchant services and payment facilities with the bank was critical to the operation of the business.”
