Squire Sanders Represents CACI International in its US$820 Million Acquisition of Six3 System, Inc

Squire Sanders represented defense contractor CACI International Inc in its definitive agreement to purchase Six3 Systems, Inc. from the private equity firm GTCR. Six3 Systems provides support to the national security community in the areas of cyber and signals intelligence; intelligence, surveillance and reconnaissance; and intelligence operations. The deal is valued at US$820 million and is expected to close during CACI’s fiscal second quarter, ending December 2013, subject to regulatory approvals.

The acquisition, the largest of CACI’s 50-plus acquisitions to date, will significantly expand CACI’s cyberspace market as well as bolster its C4ISR (command, control, communications, computers, intelligence, surveillance and reconnaissance) and intelligence capabilities.

The Squire Sanders team was led by Global Corporate Practice partner Robert Gregg and included Americas Chair of the Global Corporate Practice Daniel Berick. Additional team members included Carl Draucker (benefits), Michael Meissner (tax), Barry Pupkin and Peter Alfano III (antitrust), and Merrell Renaud (labor and employment).

“We are confident this acquisition will further differentiate CACI in the market space,” CACI President and CEO Ken Asbury said in a statement. “Both our companies are positioned to support national intelligence missions that require sophisticated technologies and services in areas we believe will be high priorities even in an environment of sequestration or budget constraints.”
