SZA Schilling, Zutt & Anschütz advises Uniwheels Holding (Malta) Ltd. on Irrevocable Undertaking with Superior Industries International Inc. regarding public takeover bid for shares of Uniwheels AG

The law firm SZA Schilling, Zutt & Anschutz has advised Uniwheels Holding (Malta) Ltd. (Uniwheels Holding) with its corporate seat in Sliema, Malta, on negotiations with Superior Industries International Inc. (Superior) listed on the New York Stock Exchange and with its corporate seat in Michigan, United States of America, and on the conclusion of an Irrevocable Undertaking. Accordingly, Uniwheels Holding has irrevocably undertaken to tender its block of shares of approx. 61,3% of the share capital of Uniwheels AG (Uniwheels), a German stock corporation listed on the Warsaw Stock Exchange, with its corporate seat in Bad Durkheim, Germany, with respect to a public takeover bid. Both, German and Polish takeover laws were applicable.

SZA Schilling, Zutt & Anschutz provided legal advice throughout the entire transaction process. A team of the law firm Soltysinski Kawecki & Szlezak, Warsaw, Poland, advised on pertinent questions of the Polish capital markets law. In-house, the transaction was managed by the Head of the Legal Department of Uniwheels Holding, Ms. Heike Pfleger.
