(Uniwheels Holding) with its corporate seat in Sliema, Malta, on negotiations with Superior Industries International Inc. (Superior) listed on the New York Stock Exchange and with its corporate seat in Michigan, United States of America, and on the conclusion of an Irrevocable Undertaking. Accordingly, Uniwheels Holding has irrevocably undertaken to tender its block of shares of approx. 61,3% of the share capital of Uniwheels AG (Uniwheels), a German stock corporation listed on the Warsaw Stock Exchange, with its corporate seat in Bad Durkheim, Germany, with respect to a public takeover bid. Both, German and Polish takeover laws were applicable.

A team of the law firm Soltysinski Kawecki & Szlezak, Warsaw, Poland, advised on pertinent questions of the Polish capital markets law.
