Taylor Wessing advises CPP, Inc. on its acquisition of OPP

14 Nov 2016

Taylor Wessing has advised client CPP, Inc., the exclusive publisher of the Myers-Briggs Type Indicator® (MBTI®) assessment, on its acquisition of UK-based OPP, one of Europe’s top business psychology product and services providers and European distributor of the MBTI® assessment, for an undisclosed sum.

California-based CPP publishes and sells personality, career and organisational development assessments and tools. The company offers a wide range of products such as MBTI®, Strong Interest Inventory, Thomas-Kilmann Conflict Mode Instrument and Fundamental Interpersonal Relations Orientation.

By combining the talents and resources of the two companies, CPP plans to create an internationally recognised brand umbrella for its line of products and services, which includes some of the world’s most widely used psychometric assessments.

Jeff Hayes, President and CEO of CPP said of the transaction: “Together we will deliver on our mission to inspire everyone on the planet to know, use and share the power of personality”.

Thaddeus Stephens, Vice President, Corporate Development and General Counsel at CPP commented: “For our first acquisition in the UK, we were looking for a law firm that understood our concerns as a US buyer. Andrew Davis and his team at Taylor Wessing provided superb, business-focused and practical advice in a complex transaction. Moreover, they partnered well with other CPP executives, translating complex legal issues to their business implications. We would not have been able to complete this deal without their support.”

Corporate Technology partner Andrew Davis said: “It has been a great pleasure to work with Thad and the team at CPP on this transformational deal which will significantly expand their footprint in Europe and enhance their offering.”

The Taylor Wessing team advising CPP was led by Corporate Technology partner Andrew Davis, with support from associate Siobhán Langwade (Corporate Technology), senior associate James Stewart (Tax), partner Ross Caldwell and associate Shruti Agrawal (Banking & Finance), senior associate Richard Craig (Data Protection and Antitrust), associate George Biggar (Real Estate) and senior associate Emma Tait (Real Estate and Planning).
