Taylor Wessing advises Inflexion on its acquisition of CMO

06 Nov 2013

Taylor Wessing has advised Inflexion Private Equity Partners on the management buyout of CMO COMPLIANCE (“CMO”), the market leader in enterprise governance, risk, compliance and quality software solutions for global corporations and regulators.

Founded in 2007 by the current CEO, the business has grown rapidly and now serves over 130 customers including blue-chip clients Xstrata, Network Rail, Orica and Tyco. Operating in a large, global market, which is growing at over 15% annually, demand for CMO’s product is driven by an increased need for configurable compliance software, increasing regulation as well as the increasing cost of non-compliance.

Flor Kassai, Investment Director at Inflexion, commented: “It is really exciting to partner with such an ambitious management team who have created a best-in-class product in a double-digit growth market. Together we will continue to develop and enhance CMO’s sales and marketing capabilities, and add strength, experience and an international dimension to the management team and board.”

Mark Williams, Investment Director at Inflexion, added “We are already helping the team through the recruitment of a high calibre chairman, Loek van den Boog, ex-CEO of Oracle EMEA.”

James Goold, Private Equity partner at Taylor Wessing added "This was a fascinating, international deal to be involved with in the technology space - a sector that continues to attract the focus of the private equity industry.  We were delighted to combine our buy-out and technology expertise to help Inflexion and the CMO Founders join force."

James Goold led the corporate team, along with associates Lowri Hardcastle, Jonny Bethell and Alexandra Richardson. Specialist input was provided by Peter Jackson and James Stewart (tax), William Andrews (IT & IP), Simon Gorham and Stephanie Creed (employment) and Martin Yells and Gabriel Estevez (finance).
