U.S. Silica Holdings, Inc. $364.6 Million Secondary Offering

Davis Polk advised Morgan Stanley & Co. LLC, as sole underwriter, in connection with the SEC-registered secondary offering of 11,879,000 shares of common stock of U.S. Silica Holdings, Inc., which includes 379,000 shares of common stock purchased by the underwriter pursuant to its option to purchase additional shares.

U.S. Silica is one of the largest domestic producers of commercial silica, a specialized mineral that is a critical input into a variety of attractive end markets. During its 113-year history, the company has developed core competencies in mining, processing, logistics and materials science that enable it to produce and cost-effectively deliver over 250 products to customers across these end markets. In U.S. Silica’s largest end market, oil and gas proppants, its “frac sand” is used to stimulate and maintain the flow of hydrocarbons in horizontally drilled oil and natural gas wells.
