WFW advises KKB on the acquisition of a 6MW onshore wind farm in Thuringia

17 Oct 2014

Watson, Farley & Williams (“WFW”) has advised Swiss power plant operator KKB AG (“KKB”) on the acquisition of the Pölzig wind farm from project developer WSB Neue Energien Holding GmbH.

The wind farm, located in Thuringia, will be commissioned in October and is equipped with two Senvion 3.2 M114 wind turbines. It has a total installed capacity of 6.3 MW and a very high utilization due to its location in an area known for high winds and turbine hub heights of 143 metres. The wind farm is an ideal addition to the 9.2 MW wind farm “Selmsdorf III” acquired by KKB in March. WFW also advised KKB on the Selmsdorf III acquisition.

WFW advised KKB on all legal and tax matters relating to the due diligence, contract negotiations and purchase agreements. The acquisition was effected by the purchase of all shares in the wind farm’s operating company through a German holding company founded by KKB.

This latest acquisition continues KKB’s successful expansion in the German wind sector. KKB’s stated aim is to own and operate over 140 MWs of wind energy assets across Germany, France, Italy and Norway by 2020.

The WFW team was led by partner Dr. Marcus Bechtel (Corporate, Hamburg). He was supported by partners Gerrit Bartsch (Tax, Hamburg), Dr. Christine Bader (Regulatory, Hamburg) and Thomas Hollenhorst (Banking & Finance, Hamburg), as well as senior associate Cathrin Browne (Corporate, Hamburg) and associates Carolin Woggon (Corporate, Hamburg), Pascal Unger (Banking & Finance, Hamburg), Timo Kopmann (Tax, Hamburg), Anastasiya Korolchenko (Regulatory, Frankfurt) and Alexander Schroer (Real Estate, Hamburg).

Dr. Marcus Bechtel comments: “We are delighted to have once again advised KKB on the expansion of their German wind farm portfolio and to have, thereby, continued our successful working relationship with KKB.“
