William Fry advises Innocoll on its redomiciliation from Germany to Ireland

William Fry recently advised Innocoll Holdings plc (NASDAQ: INNL) a global, commercial stage specialty pharmaceutical and medical device company, in respect of its corporate redomiciliation from Germany to Ireland. The move to Ireland also involved the termination of Innocoll’s existing ADR programme and the direct listing of shares on NASDAQ.

This redomiciliation was implemented by means of a cross-border merger under Irish and German law, the first time that a listed company has redomiciled to Ireland using this pan-European regime. The reorganisation will allow Innocoll to avail of a more favourable corporate legal regime in Ireland and reduce certain operational and other expenses.
