REXEL, a french group specialized in the distribution of electrical supplies, sold parts of it's czech buisness to family owned ELEKTRO S.M.S. International law firm Wolf Theiss advised on sell-side.
French REXEL decided to concentrate on other markets and to sell it's czech branches. The merger mainly covered wholesale and retail buisness of electrical wiring material. So the buisnesses in Jablonec nad Nisou, Prague, Kolin, Pardubice, Trebic, Zdar and Sazavou and a central warehouse in Prostejov were sold to a local competitor, Elektro S.M.S, a czech family buisness – the sale became effective as of 1 January 2015.
Wolf Theiss, international law firm, which is focusing on the CEE and SEE region, assisted on sell-side. Senior Associate Jan Kotous and Associate Ondrej Manek structured the sale, drafted and negotiated the transfer documents and assisted Rexel with the closing. Difficult was the tight timeframe: The representations and warranties given by the selling entity must have been very limited in time.
