WOLF THEISS ADVISES VTB BANK (AUSTRIA) AG ON A SUCCESSFUL CAPITAL INCREASE OF EUR 200 MILLION

VTB Bank (Austria) AG ("VTBA") has successfully increased its Common Equity Tier 1 capital ("CET 1") by way of a capital increase in the amount of EUR 199,995,107.00 up to a total of EUR 412,671,129.00.

The capital increase of VTBA was registered with the Austrian Commercial Register (Firmenbuch) at the Commercial Court (Handelsgericht) of Vienna on 4 September 2015.

The capital increase against contribution in kind was fully subscribed by VTBA's sole shareholder, JSC VTB Bank, Russia and was executed by contributing loan receivables under a subordinated loan agreement against issuing new shares.

They also advised in all relevant regulatory issues, in particular the necessary supervisory permission from the European Central Bank (ECB) and notification requirements to the Austrian Financial Market Authority (Finanzmarktaufsichtsbehörde (FMA)).
