Wragge Lawrence Graham & Co sector specialists secure £12 million sale in active energy market

22 Jul 2014

Wragge Lawrence Graham & Co's Energy team has advised longstanding client Carron Energy, part of Welsh Power Group, on its disposal of three power response businesses.

Carron Energy sold the businesses - Darent Power Limited, Leven Power Limited and Rhymney Power Limited - to Alkane Energy plc for £12 million.

Director and corporate energy sector specialist Gareth Baker led a cross-firm team through the technically challenging sale.

Gareth commented: "The funding and structure arrangements involved in the sale were complex and challenging. Our team, which was further strengthened by our merger in May, fielded experts in areas including banking and equity markets to ensure a successful close for Carron Energy on this important sale."

The Wragge Lawrence Graham & Co team comprised corporate partners Julian Henwood and Geoff Gouriet, real estate partner Lee McBride, corporate solicitor James Bradshaw, as well as associates John Chater (finance), Caron Gosling (employment), Paul Harrington (tax) and paralegal Chelsie Taylor.

Carron Energy's chairman Alex Lambie said: "The sale was critical to Carron's restructuring which will see it move more towards the development and running of 'new build' assets. Selecting Wragge Lawrence Graham & Co with a tried and trusted team who had advised the company over many years was instrumental in the successful outcome of the deal."

Derek Goodban, head of the firm's Energy team, added: "The power sector is going through a period of significant change. As a result, we are seeing increasing levels of M&A activity, both in the more traditional energy arena and in the renewables market.

"Our team's broad client base and deep sector immersion means we understand energy markets from all angles. We are ideally positioned to use that specialist sector knowledge, plus the team's full service offering, to help clients conclude transactions quickly and efficiently – a key driver in an ever-changing market.

“We are extremely pleased to have been able to bring that experience to bear to help Carron Energy deliver this transaction."

Wragge Lawrence Graham & Co's 70-strong Energy team advises a range of domestic and international clients across the whole of the sector. Energy sector M&A highlights include a 38MW acquisition on behalf of Primrose Solar, advising on the UK's largest ever solar bond deal and Partnerships for Renewables' acquisition of Craig Wind Farm Ltd.

Eversheds advised Alkane and Squire Sanders advised the brokers to the equity placing.
