WFW advises PNE WIND AG on 142 MW wind farm portfolio sale to Allianz Global Investors fund

International law firm Watson Farley & Williams (“WFW“) advised PNE WIND AG (“PNE“) on its sale of 80% of the shares in its 142 MW wind farm portfolio to a fund managed by Allianz Global Investors GmbH (“AllianzGI”). With a total enterprise value exceeding € 330m, the transaction is the largest wind farm sale in PNE’s history.

In a ruling handed down on 6 December 2016, the First Senate of the Federal Constitutional Court held that the provisions of the 13th Act Amending the Nuclear Power Act (dated 31 July 2011 - ‘13th Amendment to the Nuclear Power Act’) were partly unconstitutional and that the German legislator was liable to pay compensation to nuclear power plant operators. The Court acknowledged that E.ON’s property rights, enshrined in Article 14(1) German Basic Law, and its associated legitimate expectations had been violated.

Stibbe advised Wind aan de Stroom and Triodos on a project finance package for the development of the extension of its wind farm on the Antwerp left bank with five extra wind turbines.

We assisted “Wind aan de stroom” (an SPV held by Antwerp Port Company, Antwerp Left Bank Development Company, and Groene Haven), in developing the first and second phase of its onshore wind park on the Antwerp left bank.

Slaughter and May is advising Ensco on a private placement of $750 million aggregate principal amount of 3.00% exchangeable senior notes due 2024 (the “Notes”) to be issued by Ensco Jersey Finance Limited, a wholly owned subsidiary of Ensco (the “Offering”) and the concurrent private offers to exchange outstanding senior notes issued by Ensco and Pride International, Inc. (“Pride”), another wholly owned subsidiary of Ensco (the “Exchange Offers”). The commencement of the Offering and the Exchange Offers was announced on 06 December 2016.

DLA Piper advises National Grid on sale of gas distribution arm

DLA Piper is advising National Grid on real estate matters arising from the sale of 61% of its gas distribution arm, valued at £13.8 billion.

The team, led by partners Tim Field (Leeds) and Tom Kelsall (Manchester), is advising on the separation and transfer of the land and properties required by the gas distribution business. Senior associate Fiona Strachan acted as the in-house legal workstream lead for the real estate aspects of the project.

Linklaters advises as National Grid agrees UK distribution sale

Linklaters has advised National Grid plc (“National Grid”) as it today enters into an agreement to sell a 61% equity interest in its UK gas distribution business (“NGGD”) to a consortium of long-term infrastructure investors. The Consortium comprises Macquarie Infrastructure and Real Assets (“MIRA”), Allianz Capital Partners, Hermes Investment Management, CIC Capital Corporation, Qatar Investment Authority, Dalmore Capital and Amber Infrastructure Limited/International Public Partnerships.
