DLA Piper advises Oasis Petroleum in purchase of drilling locations from SM Energy Company

DLA Piper represented oil and gas exploration and production company Oasis Petroleum Inc., in the acquisition of approximately 55,000 net acres in North Dakota's Williston Basin from SM Energy Company in a US$785 million transaction.

The newly acquired assets will increase Oasis' core acreage and inventory by approximately 25 percent.

DLA Piper advises Smart-Core Holdings Limited on its IPO in Hong Kong

DLA Piper has advised Smart-Core Holdings Limited on its successful approximately HK230 million initial public offering on the Main Board of the Stock Exchange of Hong Kong.

Smart-Core is a leading distributor of integrated circuit and electronic components headquartered in the PRC. The company believes there will be rapid growth in its field in the future. The Hong Kong tranche was over-subscribed by 15.5 times and the international tranche was moderately over-subscribed.

Sidley Represents Aboitiz Power Corporation in its US$1.2 Billion Acquisition of Coal-fired Power Plants in the Philippines

Sidley represented Aboitiz Power Corporation in its US$1.2 billion acquisition of a 66.1 percent interest in a 604 MW subcritical coal-fired power plant and a 40 percent interest in a 1,336 MW greenfield supercritical coal-fired power plant in the Philippines. The power projects were acquired following a private auction by Blackstone/Sithe Global. Sidley also represented Aboitiz Power Corporation in the US$650 million acquisition financing facility from international banks led by Bank of Tokyo-Mitsubishi UFJ and Standard Chartered Bank.

Freshfields Bruckhaus Deringer LLP (“Freshfields”) has advised Essar Energy Holdings Limited, Mauritius in relation to its US$12.9 billion sale of 98 per cent of Essar Oil. Essar Oil is to sell 49 per cent to Rosneft, and a further 49 per cent to a consortium of international investors, including Trafigura and UCP. The transaction is subject to receipt of the necessary regulatory approvals and other customary conditions.

Linklaters advises Rosneft on $12.9bn acquisition of Essar Oil

Linklaters has advised Rosneft on the Sale and Purchase Agreement for approximately 49% stake in Essar Oil Limited (hereinafter - “EOL”) from Essar Energy Holdings Limited and its affiliates. Rosneft  Board of Directors unanimously approved the deal on 13th October 2016.

Rosneft acquired 49% of the Vadinar refinery, one of the most sophisticated refinery in the Asia-Pacific region, possessing a complex infrastructure. EOL's business also includes a vast network of 2.7 thousand Essar branded retail outlets across India.

Ashurst advises EnQuest on largest and most complex European oil company restructuring in recent years

International law firm Ashurst is advising EnQuest PLC, the largest independent UK oil producer in the UK North Sea, on its financial restructuring.

The restructuring includes the amendment and restatement of a revolving credit facility of up to US$1.7 billion, the exchange of US$650 million high yield notes for new notes, the amendment of the terms governing £155 million retail notes and a placing and open offer.

The wind farms Kankaanpäänmäki and Mustaisneva, with a total capacity of 27.5 megawatts, consist of 11 Lagerwey L100-2.5 megawatt wind turbines in the Southern Ostrobothnia region.

Norton Rose Fulbright acts in cloud driven rooftop solar and storage sale

Global law firm Norton Rose Fulbright has advised solar and storage technology company Redback Technologies on the sale of a stake to major energy company EnergyAustralia (which is owned by CLP).

The deal, valued at AU$9.3 million, will enable EnergyAustralia to offer customers access to the smart solar inverter with its cloud based software that enables smart energy usage. The investment will support Redback’s development and release of new products.
