Wolf Theiss advises SIAD on acquisition of Istrabenz Plini

Ljubljana, 23 September 2016 - Wolf Theiss Ljubljana has advised SOCIETA' ITALIANA ACETILENE E DERIVATI S.I.A.D. S.p.A. on its successful acquisition of ISTRABENZ PLINI d.o.o.

Wolf Theiss advised on transaction documentation, negotiation of the SPA, escrow arrangements as well as the merger filing in Slovenia. After already having a 49% share, SIAD with this acquisition became the sole owner of ISTRABENZ PLINI. The transaction closed on 7 September 2016.

On 28 September 2016, the Amsterdam District Court granted a motion to dismiss for lack of international jurisdiction filed by BP in a securities class action initiated by VEB. VEB had requested a declaratory judgment on the basis of Article 3:305a Dutch Civil Code regarding BP’s liability towards investors who bought, sold, or held BP Ordinary Shares in the period running up to and just after the 2010 explosion on the Deepwater Horizon oil platform.

Ashurst acts for Caribbean Gas Chemical Limited in financing of a methanol production facility

Over the last two years, Ashurst Tokyo has been advising Caribbean Gas Chemical Limited (CGCL) in relation to the project financing of a methanol (and dimethyl ether) production facility at the Union Industrial Estate in the La Brea area of southern Trinidad, in the Republic of Trinidad and Tobago.

Project financing has been obtained from The Japan Bank for International Cooperation together with cofinancing provided by The Bank of Tokyo-Mitsubishi UFJ, Ltd. and certain other commercial lenders with an overall debt facility of USD693 million.

China General Nuclear Power Corporation 's ('CGN') investment into the UK's first new nuclear power station for a generation which signs today, sees the culmination of three years of work for law firm Ashurst on this ground breaking project.

Ashurst is advising CGN on its investment into Hinkley Point C, the establishment of a broader UK partnership for the development of new nuclear power stations at Sizewell in Suffolk and Bradwell in Essex and a key joint venture designed to bring Chinese nuclear technology to the UK for future projects.

Leading global law firm Herbert Smith Freehills has advised China's United Photovoltaics Group Limited on the acquisition of six solar farms in the United Kingdom.

The solar farms are located in the UK counties of Oxfordshire, Northamptonshire, Nottinghamshire and Cumbria and have a combined capacity of about 82.4mw.

HKEX-listed United PV is a leading investor and operator focusing on photovoltaics power plants in China, and its single largest shareholder is China Merchants Group.
