Ashurst advises on A$40m DeGrussa Solar Project

Ashurst has advised Pacific Energy Limited subsidiary, Pacific Energy (KPS) Pty Ltd, on the A$40million integration of its diesel power station into a hybrid solar/battery/diesel power station for Sandfire Resource NL.

Pacific Energy (KPS) Pty Ltd provides a 19MW diesel power station, and this has been integrated with a 10MW solar facility, including 6MW lithium-ion battery storage, to provide power to Sandfire's DeGrussa Solar Project. The DeGrussa Solar Project is the largest integrated off-grid solar and battery storage facility in Australia and reportedly, in the world.

DLA Piper advises Georgian Industrial Group on acquisition of stake in JSC “Indar”

DLA Piper has advised Georgian Industrial Group, acting through its special purpose vehicle, Luraq Investments Limited , on the acquisition of a 29.29% stake in the Ukrainian insulin producer, JSC “Indar”. The stake was previously held by Bioton S.A, a Polish biotechnological company.

Georgian Industrial Group is the largest industrial group in Georgia, with a diversified business portfolio, including coal mining, electricity generation, natural gas, retail, automotive, media, real estate and others.

Thommessen assists BP in the merger with Det norske

BP Norge joins forces with Det norske creating a new and exciting E&P company to be named Aker BP. The company will continue to be listed at the Oslo Exchange.

In connection with the merger, BP Norge is assigned to Det norske. The consideration is to be settled by cash and the shares are to be issued by the Det norske.

Following the transaction, Aker will have an ownership of 40% in Aker BP. BP UK and the remaining shareholders will have ownership of 30% respectively.

Hengeler Mueller advises CTG on acquisition of interest in offshore windfarm “Meerwind”

China Three Gorges Corporation (“CTG”) announced that it has entered into a binding agreement to acquire BCP Meerwind Luxembourg S.à.r.l. (subject to certain closing
conditions being satisfied). The company holds an 80% share in the 288MW German offshore windfarm "Meerwind". It is sold by funds under the management of The Blackstone Group L.P. ("Blackstone").

Dentons advises Canadian Solar on its £36.4 million refinancing of four UK solar power plants

London-Dentons has advised Canadian Solar, the Toronto-based global energy provider and one of the world's largest solar power companies, on its £36.4 million refinancing of four UK solar power plants with a combined capacity of 40.2 MW.  BayernLB is the sole lender and the refinancing takes out short term debt put in place by Investec last year.

Bär & Karrer Advises CSA Energy Infrastructure Switzerland on its Acquisition of a Stake in the Swiss Transitgas Pipeline

CSA Energy Infrastructure Switzerland (an investment group of the Credit Suisse Investment Foundation) together with other institutional investors, the Swiss gas industry comprising Swissgas and various Swiss utilities (Holdigaz, Gaznat, EGO, Groupe E and Gas & Com) and Fluxys, a Belgian operator of gas infrastructure in Europe, agreed to acquire a 44.9% stake in FluxSwiss LLC from Global Infrastructure Partners (GIP). FluxSwiss LLC owns 46% of Transitgas AG and has the right to commercialise approximately 90% of the capacity of the transitgas pipeline.

Pinsent Masons on £2.6 billion financing of Beatrice offshore wind farm

International law firm Pinsent Masons has advised Beatrice Offshore Windfarm Limited on the £2.6bn financing and construction procurement of its 588megawatt, 84 turbine wind project located in the Moray Firth.

The project is funded by 13 commercial lenders, the European Investment Bank (EIB) and the Danish export credit agency Eksport Kredit Fonden as well as SSE Renewables, Copenhagen Infrastructure Partners and SDIC Power.

Noerr advises petrochemicals group Borealis on acquisition in German market

Noerr is advising the Austrian company Borealis AG on a transaction in the German market. The petrochemicals group has now reported that it has concluded an agreement on the complete takeover of the companies mtm plastics GmbH and mtm compact GmbH, which both specialise in the recycling of plastics. The competition authorities still have to approve the transaction.
