WFW advise Capital Stage on the acquisition of four Italian PV plants

Watson Farley & Williams (“WFW“) has advised Capital Stage, Germany’s largest independent solar park operator listed on the SDAX of the Deutsche Börse, on the signing of an agreement to acquire four Italian solar parks with a total capacity of 16.9 MWp in the Piedmont region (northern Italy) from an undisclosed Spanish vendor. The total investment value of the acquisition, including project debt, amounts to circa €65.4m.

Herbert Smith Freehills advises Cuadrilla on planning appeal win for Grange Hill exploration site

International law firm Herbert Smith Freehills has advised Cuadrilla Resources ('Cuadrilla') on its successful appeal against Lancashire County Council's refusal to grant planning permission for proposed monitoring and site restoration works at its Grange Hill shale exploration site near Singleton, Lancashire. This is the first appeal win involving works at a shale exploration site to have been made following the Government's Shale Gas and Oil Policy Statement 2015.

Burges Salmon advises ITM Power plc on placing and open offer to raise £5.8m

The Corporate team from Burges Salmon has advised energy storage and clean fuel company, ITM Power plc, an AIM quoted company, on its initiative to raise £5.8 million by way of a placing of approximately 14 million new ordinary shares and an open offer of approximately 24.5 million new ordinary shares at an issue price of 15 pence per share.

The placing and open offer was arranged by Zeus Capital Limited. Admission occurred on 17 February 2016.

With a team led by Dr. Armin Freiherr von Grießenbeck, Partner at the law firm’s Munich office, Heuking Kühn Lüer Wojtek advised Grundgrün Energie GmbH, one of the major energy suppliers and service providers for renewable energies (headquartered in Berlin) with worldwide revenue of some 160 million euros, on the sale of its core business (asset deal) to EnBW (headquartered in Karlsruhe), Germany’s third-largest electricity supplier with consolidated revenue of some 21 billion euros.

August & Debouzy assisted REXEL with the acquisition of CORDIA, a specialist in fire security products and solutions.
 
Rexel, a French distributor of electrical supplies, announced last Thursday the acquisition of Cordia, a French company specialising in fire security products and solutions.
Cordia, headquartered in the Paris region, posted sales of €12 million in 2015 and double-digit profitability. The company employs about 40 employees. The amount of the transaction has not been revealed.

GvW Graf von Westphalen has again advised the French Legrand group on a complex cross-border transaction. With the recently completed share purchase agreement, the Legrand group in parallel acquired Fluxpower GmbH with its business seat in Germany and Primetech Srl with its business seat in Italy. The GvW team around Eric Messenzehl (partner, M&A) and Benjamin Schwarzfischer (senior associate, M&A) was in charge of coordinating an international team consisting of GvW lawyers and lawyers of Pirola Pennuto Zei & Associati.
