WFW advise OTI Energy in the sale of hydro plant owned by Prodena S.r.l.

Watson Farley & Williams (“WFW”) has advised OTI Energy S.A., in relation to the sale of a 15 GWh hydropower plant located in the Municipality of Tavagnasco, Turin (Northern Italy).

OTI Energy S.A. are an operating holding company listed on the SIX Swiss Exchange in Zurich, with investments and operations & maintenance services in the renewable energy sector, including a majority shareholding in Prodena S.rl. .

30 November 2015, Shenzhen Qianhai Shekou Free Trade Zone Power Supply Co., Ltd. was officially established in the Qianhai Shekou Free Trade Zone (FTZ), Shenzhen, becoming China’s first incremental placement based mixed ownership power supply enterprise. Responding to Several Opinions on Further Deepening the Reform of Electric Power System issued by the State Council, the project took the initiative in attracting and injecting social capital into the incremental distribution network, which is of prospective significance in promoting and exploring the reform of mixed ownership.

Loyens & Loeff advised Belwind on the refinancing of its offshore wind farm

On 28 December 2015 Belwind secured approximately €400,000,000 in funding for the refinancing of its 165 megawatt operational offshore wind farm located on the Bligh Bank, 46km off the Belgian coast. The refinancing is provided by a consortium of senior lenders consisting of Rabobank as Mandated Lead Arranger, and ASN Bank and Belfius Bank as Lenders.

Loyens & Loeff assisted the Belwind team and its shareholders from the early stages up to financial close.

Deal represents largest ever purely-Philippine Peso project financing; first power generation facility in the Philippines to utilize supercritical boiler technology.

Latham & Watkins represented the borrower, San Buenaventura Power Ltd. Co. (a joint venture among Meralco PowerGen Corporation and New Growth B.V., an affiliate of The Electricity Generating Plc (Egco) of Thailand), in the project financing of a 500 MW supercritical coal-fired power plant expansion project located in Mauban, Quezon Province, the Philippines.

Ashurst advises Serinus on its sale of its shares in KUB-Gas Holdings Limited

Ashurst advised Serinus Energy Inc., on its agreement for the sale of all of the 70% of its shares in KUB-Gas Holdings Limited ("KHL"), which, in turn, wholly owns KUB-Gas LLC ("KUB-Gas"). KUB-Gas owns (directly and indirectly through its subsidiary, KUB-Gas Borova LLC) 100% of, and operates, the six licenses/permits in Ukraine which contain the Olgovskoye, Makeevskoye, Vergunskoye and Krutogorovskoye gas fields.

Pinsent Masons advises on landmark 'One Belt One Road' project

Pinsent Masons has advised on one of the first projects to be financed under China’s ‘One Belt One Road’ initiative - Thar Block II coal mine in Pakistan and two associated 330-megawatt power plants.

The firm worked with the two project companies, the mine company (a joint venture of the Government of Sindh, Engro Corporation, various Pakistan and Chinese investors and China Machinery Engineering Corporation) and the Power company (a joint venture of Engro, CMEC and a Pakistan investor).

WLG's Energy team advises Primrose Solar on reaching its 200MW milestone

Wragge Lawrence Graham & Co's (WLG) Energy team, led by partner Gareth Baker and senior associate Meera Unadkat, has advised longstanding client Primrose Solar on the acquisition of a 4.21 MW solar farm at Fanny House Farm, Heaton with Oxcliffe.

The acquisition brings Primrose's solar energy contribution up to 202MW of installed capacity, either operational or under construction.

Hogan Lovells advises EDF on the sale of BERT

Hogan Lovells advises E.D.F. International (EDF) on the sale of its majority stake in Hungary-based Budapesti Eromu Zrt. (BERT) to EP Hungary a.s., a subsidiary of Energy a.s., which therefore acquires more than 95% of the shares of BERT.

BERT owns three gas-fired cogeneration plants (combined heat & power), which meet almost 60% of the demand for heat in Budapest and generate approximately 3% of Hungarian electricity.

Following the Russian Federation’s refusal to comply with its obligations to pay the amounts due pursuant to the Final Awards, or to otherwise enter into settlement negotiations, the majority shareholders initiated court actions for the recognition and enforcement of the Awards in various countries around the world. The majority shareholders are proceeding with this legal action in countries which are signatories of the 1958 New York Convention for the recognition and enforcement of arbitral awards.

Clifford Chance has advised Huaneng Power International on its US$730 million placement of new shares. CITIC CLSA Securities was the sole placing agent. Huaneng Power International, tri-listed in New York, Hong Kong and Shanghai, is one of the largest power companies in the world.

The team was co-led by Fang Liu and Virginia Lee who were supported by senior associates Tianning Xiang and Corey Zhang, and associates Stanley Tan and Claire Cao.
