Clayton Utz has advised Osmose Utilities Services, Inc., a company owned by New York-based private equity firm Kohlberg & Company, on its successful acquisition of Logsys Power Services Pty Ltd, a provider of services for electric utilities in Australia and New Zealand, based in Perth, Western Australia.

Clayton Utz corporate partner Mark Paganin and special counsel Stephen Neale led the firm's team with key support from Benjamin Depiazzi.

Dentons advises DTEK Renewables BV on signing a contract for wind turbines with General Electric

Dentons acted as legal counsel to DTEK Renewables B.V. on the signing of a contract with General Electric regarding the supply of 26 modern wind turbines for the second phase of Prymorska wind farm. This additional equipment doubles Prymorska’s generating capacity to the 200 MW, and the total sum of investments is estimated at €150 million.

Baker McKenzie Advised ONEE on First Wind Farm Project to Reach Financial Close Under the €1 billion, 850W Integrated Wind Program

Leading global law firm Baker McKenzie advised Moroccan utility Office National de l’Électricité et de l’Eau Potable (ONEE) on the on the €230 million, 180MW Midelt Wind Farm in Morocco, which reached financial close on 8 November 2018, with a sponsor consortium of ENEL Green Power (ITA) and Nareva Holding (MOR) and ONEE. The financing was provided to the ONEE by international institutions including KfW, EU and the EIB and on-lent by the ONEE to the project company.  ONEE will purchase electricity produced by the wind farm under a 20-year PPA.

Global law firm Herbert Smith Freehills has advised Red Eléctrica Corporación on the world's first syndicated loan using blockchain technology. The €150 million loan was engaged from three banks: BBVA, BNP Paribas and MUFG. Negotiations were conducted quickly over the platform developed by BBVA based on DLT (Distributed Ledger Technology).

WBD advises TRIG on renewable energy portfolio refinancing

Womble Bond Dickinson (WBD) has advised The Renewables Infrastructure Group Limited (TRIG), the listed UK and European renewables fund, on the refinancing of seven UK onshore wind farms, which are operationally managed by RES.

The refinancing involved an improvement in the commercial terms over the existing facilities, and an increase to the tenor, though debt is repaid within the subsidy period. KfW IPEX-Bank, which was one of three existing lenders alongside BNP Paribas and Lloyds, was sole lender of GBP 195mm in senior term facilities which closed on 31st October.

DLA Piper advises CSEIP and E.ON on investment and financing of one of Europe’s largest onshore wind farms in Sweden

DLA Piper has advised Credit Suisse Energy Infrastructure Partners AG (CSEIP) and E.ON on their investment into, and financing of one of the largest onshore wind farms in Europe, the 475-megawatt Nysäter project in Sweden. A fund advised by CSEIP will hold 80% of the joint venture, while E.ON will build and operate the wind farm under a long-term O&M agreement and retain a 20% equity stake in the project. The total investment amounts to approximately €500 million.

The Nysäter project is located in the wooded and hilly Västernorrland district of central Sweden close to Sundsvall, an area with excellent wind conditions. Construction of Nysäter is scheduled to start in 2018 and is expected to be completed by end of 2021. The wind farm will be equipped with 114 turbines from the German manufacturer Nordex Group, most of which will be N149. The output of the turbines varies between 3.9 and 4.4 megawatts depending on the location and will have a tip height up to 220 meters.
