DHT's Acquisition of Samco Shipholding

DHT Holdings has entered into an agreement to acquire all the outstanding shares of Samco Shipholding Pte. Ltd., a private, Singapore-based company, for a purchase price of approximately $317 million and the assumption of approximately $320 million of indebtedness. Cravath represented DHT in connection with this transaction, which is expected to close in September 2014 and is subject to various customary closing conditions. The transaction includes Samco’s 50% ownership in Goodwood Ship Management Pte.

Wragge Lawrence Graham & Co advises on Afghanistan energy project

Wragge Lawrence Graham & Co's Energy and Infrastructure team, in partnership with the International Finance Corporation, has advised Da Afghanistan Breshna Sherkat (DABS) on the successful procurement of a private management support contractor.

The USD$27.5 million arrangement will support DABS, the Afghanistan state electricity transmission company, in its operations within the Kandahar and Helmand provinces. The contractor, Power Generation Solutions will be charged with improving the metering, revenue, service levels and management capability of DABS in Kandahar.

Linklaters advises on one of the largest Czech bond issuances

Linklaters has advised Net4Gas, the Czech gas transmission system operator, on a three tranche bond in EUR and CZK amounting to €710m. The CZK 7bn Reg S issue is one of the largest CZK denominated bond issuance. 

The bond issuance is part of a €1bn refinancing of acquisition debt used by Allianz and Borealis to purchase Net4Gas from RWE in August 2013.  

Burges Salmon advises Estover Energy on new biomass plant in Scotland

Energy sector experts from leading UK law firm Burges Salmon have advised developer Estover Energy and project vehicle Speyside Renewable Energy Partnership Ltd (SREPL) on the development and financing of SREPL's new biomass Combined Heat and Power (CHP) plant in Speyside, Scotland.

The construction of the project has been funded by a public bond issue, guaranteed by Infrastructure UK (IUK) and is the first project finance bond issue guaranteed by IUK in the biomass sector. The bonds were admitted to trading on the London Stock Exchange on 29 August 2014.

Shearman & Sterling advised Abengoa Solar Chile S.A. as borrower in connection with a $205 million bridge financing arranged by BTG Pactual for the construction and operation of the Cerro Dominador solar project, a 110 MW concentrated solar power plant located in Chile. The Cerro Dominador project will be the first solar-thermal plant for direct electricity production in South America and is part of the Chilean government’s national renewable energy development program.

Freshfields advises Yingde Gases on US$250m senior notes issue

Freshfields Bruckhaus Deringer has advised Hong Kong listed company Yingde Gases Group Company Limited (Yingde Gases) on its US$250m senior notes issue, which closed on 28 August 2014.

The unsecured notes are offered at 7.25% and are due in 2020. The notes, issued through its wholly-owned subsidiary, have received ratings from Fitch, Moody’s and Standard & Poor’s and are listed on the Hong Kong Stock Exchange.
