Weil Advises Kinder Morgan in $70 Billion Acquisition of KMP, KMR and EPB

Weil is advising Kinder Morgan, Inc. (KMI) in its acquisition of all the outstanding equity securities of Kinder Morgan Energy Partners (KMP), Kinder Morgan Management (KMR) and El Paso Pipeline Partners (EPB).

The transaction is valued at approximately $70 billion and is expected to close by year end.

The KMI team includes General Counsel Dave DeVeau and in house counsel Adam Forman, Angela Teer and Eric McCord.

Herbert Smith Freehills advises Brightoil on US$1.1 billion acquisition of China offshore blocks

Herbert Smith Freehills has taken the lead in advising Hong Kong-based and-listed energy and resources company Brightoil Petroleum (Holdings) Limited on its successful US$1.1 billion cash acquisition of Kerr-McGee China Petroleum Ltd., the China unit of Texas-based Anadarko Petroleum Corporation, one of the world’s biggest independent exploration and production companies.

Herbert Smith Freehills advises Roc Oil on takeover bid from Fosun

Herbert Smith Freehills is advising Roc Oil Company Limited (Roc Oil) on all aspects of its proposed takeover by Fosun International Limited (Fosun) valued at approximately A$474 million.

Roc Oil has entered into a bid implementation agreement with Fosun under which Fosun has agreed to make an off-market takeover bid for Roc Oil at A$0.69 cash per share.

The deal is being led by Herbert Smith Freehills partners Tony Damian and Robert Merrick and supported by senior associate Li-Lian Yeo and graduate lawyer Amelia Morgan.

Linklaters advises Suzlon group on India’s largest bond restructuring

Linklaters has advised Suzlon Energy Limited, the largest wind turbine supplier in India and the world's fifth largest wind turbine supplier group, on India’s biggest bond restructuring. The deal comprised the restructuring of four series of convertible bonds, which involved the existing bonds being substituted by new US$546,916,000 step-up convertible bonds due 2019, pursuant to a consent solicitation and voluntary substitution.

Kirkland & Ellis Advises East Resources and Private Company in Deal with American Energy

Kirkland & Ellis advises Pennsylvania-based independent oil and gas company East Resources, Inc. and an unnamed private company (together the “Sellers”) in the sale of 48,000 net acres of Marcellus Shale leasehold in West Virginia to American Energy - Marcellus, LLC for $1.275 billion, subject to customary closing adjustments. Kirkland also advises the Sellers in the sale of 27,000 net acres of Utica Shale leasehold in Ohio to American Energy - Utica, LLC for $475 million, subject to customary closing adjustments.

Herbert Smith Freehills has advised Fotowatio Renewable Ventures (FRV) on its new solar farm at Moree in northern New South Wales, which is the first merchant financed project ever undertaken in Australia.

Herbert Smith Freehills advised FRV on all aspects of the transaction including engineering, procurement and construction, project financing and land access arrangements.

Norton Rose Fulbright advises Sona Petroleum on US$280 million acquisition of a 40 per cent stake in the Greater Bualuang Area

Global legal practice Norton Rose Fulbright has advised Sona Petroleum Berhad (Sona Petroleum), a special purpose acquisition company listed on the Malaysian stock exchange, on its first acquisition. It consists of a 40 per cent working interest in the B8/38 concession containing the producing Bualuang oil field and the prospective surrounding G4/50 concession, both located in the Gulf of Thailand.

The Norton Rose Fulbright team included lawyers from the global legal practice’s Bangkok, Sydney and Singapore offices, and the Jakarta associate office.
