Dentons advises NEIF on the refinancing of its wind farm portfolio

Berlin—The global law firm Dentons advised NEIF Merinda Windpark GmbH & Co. KG (NEIF) on the refi-nancing of an onshore wind farm portfolio in Lower Saxony and Saxony-Anhalt.

The portfolio comprises three wind farms (Buddenstedt, Helmstedt and Schnellin) with a total of 19 wind turbines and an overall power production capacity of 38 megawatt; they have been in operation for about ten years. In 2009 they were purchased by NEIF being a portfolio vehicle of the Dutch NIBC European Infrastructure Fund I C.V.

Kosmos Energy Ltd. $300 Million High-Yield Notes Offering

Davis Polk advised Kosmos Energy Ltd. in connection with a Rule 144A/Regulation S offering of $300 million aggregate principal amount of its 7.875% senior secured notes due 2021. The notes are guaranteed on a subordinated basis by certain of Kosmos’s subsidiaries and are secured by an equitable charge over all outstanding shares of Kosmos’s direct subsidiary, Kosmos Energy Holdings. Barclays Capital Inc. and BNP Paribas acted as global coordinators of the offering.

Westermeerwind B.V. recently reached financial close on the construction of the Westermeerwind wind farm (144 MW). The wind farm will consist of 48 3MW wind turbines. The turbines will be built in the water along the dikes of the Noordoostpolder, in two rows beside the Westermeerdijk and the Noordermeerdijk. The wind farm, expected to be completed in 2016, will provide energy to about 160.000 households.

This acquisition will make Oando one of the largest indigenous oil producers both in Nigeria and Africa as a whole.
