Law firm CMS has advised Photon Energy N.V. (“Photon Energy”), a global solar power solutions and services company on its listing of shares on NewConnect, the non-regulated market of the Warsaw Stock Exchange.

The listing was the first transaction of its kind and included two components; (i) a public tender for the swap of shares in the listed Czech company Phoenix Energy a.s. for new shares in its Dutch holding company Photon Energy and (ii) the simultaneous listing of Photon Energy shares on NewConnect. Trading of the new Photon Energy shares commenced on 4 June 2013.

Bird & Bird today announces that its Energy & Utilities Sector Group has advised Roundwood Energy, an energy services company, on a £10m investment. Energy Saving Investments, in which the UK Green Investment Bank (GIB) is a cornerstone investor, has invested £4.9m, with a further £5.1 million of investment mobilised from the Equitix Energy Efficiency Fund.

International law firm, Osborne Clarke has today advised AIM quoted oil producer Nighthawk (AIM: HAWK), on the issue of £3.8million (US$5.8 million) unsecured convertible loan notes. Since advising Nighthawk on its admission to AIM in 2007, Osborne Clarke has advised the company on six further fundraisings, with a total value of almost £85 million.

A team from Squire Sanders has won a €300 million international arbitration for Italian utility, Edison S.p.A., in its arbitration against Algerian oil and gas company Sonatrach. This is the third case in which the Squire Sanders team has represented Edison. The first successfully settled for a significant price reduction in favor of Edison, and the second resulted in a €450 million victory for Edison in August 2012.

Field Fisher Waterhouse advised Ceramic Fuel Cells Limited, a company listed on the London Stock Exchange AIM market and the Australian Securities Exchange (ASX), on a £5 million fundraising.  The fundraising comprised the issuing of secured convertible loan notes for £4.3 million and £0.7 million raised by way of subscription for new ordinary shares.

Herbert Smith Freehills has advised the world’s largest integrated geothermal power producer, Philippines-based Energy Development Corporation (EDC) in relation to its joint venture with leading Canadian global renewable energy company, Alterra Power Corp (Alterra) for the development of four geothermal energy projects in Chile and Peru.

Herbert Smith Freehills has advised State Grid Corporation of China (State Grid) on a US$2 billion Rule 144A/Regulation S offering of senior guaranteed notes.

Dentons has advised Africa focused oil and gas exploration company Lekoil Limited on its admission to trading on AIM. Lekoil raised £32 million, placing 80 million shares on AIM in what is the biggest AIM listing to be completed so far in 2013. It is the seventh Nigeria focused company to list in London.

Linklaters and Allens have jointly advised State Grid International Development Limited, a wholly-owned subsidiary of Chinese State-owned enterprise State Grid Corporation of China, on two of Australia's largest power asset transactions.
