Surya Prakash Vietnam Energy Company develops first solar power project in Vietnam under new Vietnamese solar power regulations

Jones Day is advising Surya Prakash Vietnam Energy Company Limited, a subsidiary of India's Shapoorji Pallonji Infrastructure Capital, in connection with its Phase 1 development of a 50MW grid connected solar power project in Ninh Thun Province in Vietnam. Surya Prakash Vietnam Energy Company Limited has entered into a 20 years' power purchase agreement with the Electricity Power Trading Company of Vietnam making this the first power purchase contract signed for a solar project in Vietnam.

Baker McKenzie advised NovaWind on joint venture with Lagerwey

Baker McKenzie has advised NovaWind, the division of State Atomic Energy Corporation Rosatom responsible for Russia’s renewable energy program, on its joint venture with Dutch wind turbine manufacturer Lagerwey.

The joint venture, Red Wind, is responsible for the marketing, distribution, and after-sale support of Lagerwey wind turbines. Red Wind also plans to localize the manufacturing of wind turbines at NovaWind's facilities in Russia and intends to supply 400 turbines to wind parks by 2022.

Norton Rose Fulbright advises on the sale of a minority interest in Petrofac’s upstream operations in Mexico

Global law firm Norton Rose Fulbright has advised Petrofac on the sale of 49 per cent of the company’s upstream operations in Mexico, to Perenco, an independent Anglo-French oil and gas company. The transaction is subject to approval by the Federal Competition Commission of Mexico (COFECE), expected in Q4 2018.

Petrofac is a leading international service provider of oilfield services to the oil and gas industry.

Norton Rose Fulbright advises Lekela and Sarréole on the development and financing of the largest wind farm in West Africa

Global law firm Norton Rose Fulbright has advised Lekela, a renewable power generation company delivering utility-scale projects across Africa, and French developer Sarréole, as sponsors, on the development and financing of the Taiba Ndiaye wind power project in Senegal. The project will be the biggest in West Africa consisting of 46 Vestas V-126 wind turbines delivering up to 158.7MW.  Norton Rose Fulbright lawyers advised the sponsors during extensive negotiations starting in 2009 with SENELEC, the country’s monopoly energy supplier, and the local authorities.

Ashurst advises Kansai on acquisition of minority stake in Triton Knoll offshore wind farm

International law firm Ashurst has advised Kansai Electric Power Company on its agreement to acquire a 16 percent stake in the approx. 860 MW Triton Knoll offshore wind farm. The project was one of three offshore wind projects awarded a 15 year contract for difference (CfD) last October and is being developed by Innogy who are retaining a majority stake. Innogy has also agreed to sell 25 percent to another investor.

CMS advises GasVersorgung Süddeutschland on establishing innovative tendering platform Tender365

Stuttgart – GasVersorgung Süddeutschland GmbH (GVS) and EXXETA AG recently signed the memorandum of association for Tender365 GmbH. The registration phase for the digital electricity and gas tendering platform is due to begin on 20 August. The platform is based on an equal shareholding model. The OTC marketplace for energy projects is scheduled to commence operations on 3 September.

Allen & Overy advises Saudi Aramco on the proposed acquisition of the remaining 50% stake in ARLANXEO joint venture from LANXESS

Allen & Overy LLP has advised the Saudi Arabian Oil Company (Saudi Aramco), the world’s leading integrated energy and chemicals company, on the proposed acquisition of LANXESS AG’s interest in ARLANXEO, a Netherlands-based specialty chemicals joint venture between Saudi Aramco and LANXESS launched in 2016.

Saudi Aramco’s proposed purchase of LANXESS’s 50% share in ARLANXEO, valued at EUR1.5 billion on an enterprise value basis, would result in Saudi Aramco owning 100% of ARLANXEO.

International law firm Bryan Cave Leighton Paisner (“BCLP”) advised Jadestone Energy (“Jadestone”), a leading upstream oil and gas company in the Asia-Pacific region, on its institutional placing and admission to trading on AIM which raised USD$110m (increased from $95m).  Jadestone  is now dual-listed, as it also currently trades on Canada’s TSX Venture Exchange.

UKOG is a British oil and gas company with a portfolio of 8 UK onshore projects. In particular, it has invested primarily in oil and gas assets located in the Weald Basin in southern England where oil and gas drilling has been taking place for well over 100 years.
