Ashurst advises on the sale of a 50% stake in Barryroe Field in Ireland

International law firm Ashurst is advising Providence Resources plc ('Resources'), the Irish based oil & gas exploration company, and Lansdowne Oil and Gas plc on a farm-out agreement ('FOA') with APEC Energy Enterprises Limited ('APEC') relating to standard exploration licence ('SEL') 1/11, containing the Barryroe Field. SEL 1/11 is owned by EXOLA DAC ('EXOLA') (80%), a wholly-owned Providence subsidiary, and Lansdowne Celtic Sea Limited (20%), collectively the 'Barryroe Partners'.

Davis Polk Advises ContourGlobal on Its Acquisition of Acciona Termosolar

Davis Polk is advising ContourGlobal plc on the UK Listing Rules aspects of its acquisition of Acciona Termosolar, S.L.U. including its five 50 MW concentrated solar power plants in South-West Spain for cash consideration at closing of approximately €806 million. The acquisition, which classifies as a Class 1 transaction for ContourGlobal under the UK Listing Rules, is conditional, among other things, upon shareholder approval, and is expected to complete during the second quarter of 2018.

Baker McKenzie Bangkok advises on a landmark liability management exercise

Baker McKenzie Bangkok was mandated by RH International (Singapore) Corporation Pte. Ltd. (RHIS) and Ratchaburi Electricity Generating Holding Public Company Limited (RATCH) on their first-ever liability management exercise. The transaction involved a cash tender offer of the existing notes of RHIS and an issuance of new money notes by RHIS.  The new notes are guaranteed by RATCH.

The solar farm acquisitions, one at Turners Hill (1.2 MwP), Sussex, and the other in Drayton Mead (5.0 MwP), Buckinghamshire, completed in December 2017 and March 2018, respectively. This represents the latest acquisitions by Innova Energy in the sector, who have worked with the cross-sector Gowling WLG team, led by Gareth Baker, to continue to increase their portfolio of UK ground-mounted and rooftop solar assets.

Norton Rose Fulbright advises on Australia’s largest integrated solar farm battery storage project

Global law firm Norton Rose Fulbright has advised international energy company WIRCON GmbH, owners of Wirsol Energy, on the development and acquisition of the Gannawarra Energy Storage System in the state of Victoria in Australia.

The Gannawarra system is a 25MW / 50MWh Tesla Powerpack battery that will be integrated with the 50MW Gannawarra Solar Farm located near Kerang in north-west Victoria. It will be the first integrated solar and storage project in Victoria, the largest of its kind in Australia, and able to power around 800 homes for 24 hours.

White & Case Advises Enel Américas on US$1 Billion Revolving Financing

Global law firm White & Case LLP has advised Enel Américas S.A., a Chilean subsidiary of Enel S.p.A., on its up to US$1 billion revolving financing.

The facility has been granted by a group of lenders led by BNP Paribas as documentation agent, and Credit Agricole as administrative agent, and also including Citibank, JPMorgan and Sumitomo Mitsui.
