Clifford Chance advises BayWa r.e. on the sale of its biomethane portfolio to bmp greengas

Clifford Chance has advised Munich-based BayWa r.e. on the sale of its biomethane portfolio to bmp greengas GmbH, a subsidiary of Erdgas Südwest GmbH. The parties have agreed not to disclose any details of the purchase price.
Five people working for BayWa r.e. in Munich also had their employment transferred as part of the transaction.

This issuance of 1.25 billion 3.455% Senior Guaranteed Notes due 2029 represents the first 10-year benchmark note that TOTAL has issued in the US public market.

Latham & Watkins has advised TOTAL, a major energy player active in more than 130 countries, in connection with its registered public offering of $1.25 billion 3.455% Senior Guaranteed Notes due 2029 by its subsidiary Total Capital International as announced on February 11, 2019. This issuance represents the first 10-year benchmark note that Total has issued in the US public market.

White & Case Advises Neoen and Prokon on Finnish Onshore Wind Farm

Global law firm White & Case LLP has advised Hedet vindpark AB, a company owned by Neoen and Prokon, on the project financing of the 81MW, 18 turbine Hedet onshore wind farm in Finland.

The senior debt for the financing is provided by KfW IPEX-Bank and SEB. The wind farm will be located across the municipality of Närpesin in western Finland. Google signed a ten-year power purchase agreement in July 2018 for all the electricity produced by Hedet.

Dentons helps Gran Tierra Energy to consolidate its presence in Colombia

Dentons Cardenas & Cardenas, through its partner Hernan Rodriguez, along with the Senior Associate Carlos Vicioso, and the Associate Carlos Arboleda, advised Gran Tierra Energy on the signing of agreements for the acquisition of three oil blocks located in the Departments of Arauca and Putumayo, Colombia. This transaction was possible through a series of asset sales agreements signed with the Colombian company, Vetra Exploracion y Produccion Colombia S.A.S. and the acquisition of shares of the Spanish company Vetra Southeast S.L.U.

HERBERT SMITH FREEHILLS ADVISES ACCIONA ENERGY ON CORPORATE PPA WITH VIVA ENERGY

Herbert Smith Freehills has advised ACCIONA Energy on a long term power purchase agreement (PPA) with Viva Energy. The PPA commenced in January 2019.

Acciona’s recently-completed 132 MW wind farm at Mount Gellibrand is located near Viva Energy’s Geelong Refinery. The PPA provides for approximately 100GWh per annum, representing around one third of the Geelong Refinery’s annual electricity usage.

The Herbert Smith Freehills team was led by Gerard Pike, with support from senior associate David Ong and solicitor Simon Disney.

Norton Rose Fulbright advises on one of the largest battery storage direct investments from Japan into the UK

Global law firm Norton Rose Fulbright has advised Japanese power companies JERA Co., Inc. (JERA) and TEPCO Power Grid, Inc. (TEPCO PG) on an agreement to invest up to £25 million in the UK battery storage developer and operator, Zenobe Energy Ltd (Zenobe Energy). The investment is one of the largest direct investments from Japan into the

UK battery storage sector and is a strategic investment by JERA and TEPCO PG to leverage their cumulative experience as power producers, distribution and transmission system operators.

Predator Oil & Gas Holdings Plc issues a convertible loan note to raise £1.5 million

Following the standard listing on the Main Market of the London Stock Exchange in May, publically listed client Predator Oil & Gas Holdings (Predator) have announced that they have issued a convertible loan note instrument to Arato Global Opportunities LLC (the Lender). The net proceeds of the loan notes will be used to fund a returnable bank guarantee to be put in place in relation to their exclusive licence for hydrocarbon exploration and appraisal onshore northern Morocco by the Office National des Hydrocarbures et des Mines (ONHYM) .
