White & Case Advises Lightsource on Launch of 'Lightsource BP' Solar Power Partnership with BP

Global law firm White & Case LLP has advised Lightsource and its founders on the launch of the 'Lightsource BP' solar power partnership with BP.

The US$200 million investment by BP signals the beginning of a new partnership with Lightsource, Europe's largest solar operator, that will drive growth in large scale solar power. The transaction is a combination of the sale of shares by existing shareholders and subscription for shares in Lightsource.

Norton Rose Fulbright advises Tullow Oil plc on US$2.5bn reserves based lending facilities

Global law firm Norton Rose Fulbright has advised FTSE 250-listed company, Tullow Oil plc, in relation to the refinancing of its US$2.5 billion reserves based lending facilities and consequential amendments to its $600 million senior secured revolving credit facility.

A consortium of 18 commercial banks including ING, DNB, Natixis, BNP Paribas, Crédit Agricole, Lloyds Bank and Bank of China provided US$2.4 billion of the reserves based lending facilities. The IFC, a member of the World Bank Group, provided a further US$100 million.

Clifford Chance advises Capital Stage AG on the acquisition and project financing of one of the largest solar deals until now in the Netherlands

Clifford Chance Amsterdam has advised Capital Stage AG on the acquisition from Sunstroom Engineering of an approx. 40 MW solar farm to be constructed in Ooltgensplaat, the Netherlands and of an approx. 10 MW solar farm to be constructed in Melissant, the Netherlands. The team also advised on the project financing with funding provided by Rabobank and negotiated the project agreements.

 

WFW advises Teekay LNG joint venture on US$1.6bn financing for innovative icebreaker LNG carrier newbuildings

Watson Farley & Williams (“WFW”) has advised Teekay LNG Partners L.P. (“Teekay LNG”) and its joint venture partner China LNG Shipping (Holdings) Ltd (“CLNG”) on the US$1.6bn long-term financing for the construction of six Arc7 liquefied natural gas (“LNG”) carrier newbuildings at Daewoo Shipbuilding & Marine Engineering Co., Ltd. in South Korea.

Norton Rose Fulbright advises Wirsol Energy on largest merchant financing of solar projects in Australia

Global law firm Norton Rose Fulbright has advised international solar energy company Wirsol Energy (part of the WIRCON Group) on the acquisition, development and financing of 200MWp of solar projects – the Wemen Solar Park in Victoria (110MWp DC) and the Clermont Solar Park, Queensland (90MWp DC).

Wirsol announced that it had reached financial close for the projects today. The projects are being financed on a fully merchant basis with a long term debt facility from Clean Energy Finance Corporation (CEFC) and equity provided from Wirsol’s parent WIRCON.

Ashurst advises EWE on sale of energy storage specialist E3/DC to Hager Group

Ashurst advised EWE AG, one of Germany's large utilities, on the sale of its Osnabrück-based subsidiary E3/DC GmbH specialising in energy management and storage to Hager Group.
 
The acquisition agreement was signed on 12 December 2017. Subject to the approval of the German Competition Authority, the acquisition will be effective as of 1 January 2018.

DLA Piper advises Forge Energy LLC in US$946 million sale of assets to Oasis Petroleum

DLA Piper represented oil and gas exploration and production company Forge Energy LLC in the sale of 20,300 net acres in the Delaware Basin to Oasis Petroleum Inc. in a US$946 million transaction comprised of cash and stock.

The deal is expected to close in February 2018.

The DLA Piper team representing Forge Energy was led by partner Steven Torello and included partner Gislar Donnenberg and associate Jason Nolingberg (all of Houston).
