Dentons advises ENGIE Deutschland on the acquisition of OTTO Luft- und Klimatechnik

Munich—Global law firm Dentons advised ENGIE Deutschland GmbH on the acquisition of OTTO Luft- und Klimatechnik GmbH & Co. KG (OTTO), a leading specialist in ventilation and air conditioning, cooling technology and building automation. The acquisition, which has been approved by competition regulators, will strengthen ENGIE Deutschland’s leading position in technical building services in Germany.

DLA Piper advises Maxwell Technologies in its acquisition by Tesla

DLA Piper advised Maxwell Technologies, Inc. (Nasdaq: MXWL), a leading developer and manufacturer of energy solutions, in the definitive agreement to be acquired by Tesla, Inc. (Nasdaq: TSLA). Tesla will commence an all stock exchange offer for all the issued and outstanding shares of the Maxwell, after which it will be merged with a Tesla subsidiary and become a wholly owned subsidiary of Tesla.
 
The offer will value each share of Maxwell common stock at US$4.75 per share.

K&L Gates Advises Signal Energy on 333MW Darlington Solar Farm

Melbourne - Global law firm K&L Gates has advised Signal Energy Australia Pty Ltd (Signal), a subsidiary of American energy company Signal Energy LLC, on its appointment as joint engineering, procurement and construction (EPC) contractor of the 333MW Darlington Point Solar Farm. Edify Energy and Octopus Investments were the project sponsor. 
 
Located in New South Wales, the farm will be the one of the largest solar projects in Australia, producing enough renewable energy to meet the needs of more than 115,000 homes.

CMS AD­VISES SSE ON £635M DIS­POS­AL OF STAKE IN TWO WIND FARMS

International law firm CMS has advised SSE on the sale of a 49.9% stake in its Stronelairg and Dunmaglass wind farms to Greencoat UK Wind Plc in partnership with a major UK pension fund whose investment is managed by Greencoat Capital.
 
The stakes equate to 160.6MW (megawatts) of capacity and the total consideration is £635m, which implies an average valuation for the two wind farms of around £4m/MW. SSE will continue to operate both assets while future development rights are in line with equity share.

Linklaters has represented Petrobras Americas Inc. and its Brazilian parent Petróleo Brasileiro S.A. - Petrobras in the sale of all the outstanding shares and equity interests of Pasadena Refining System, Inc. to Chevron U.S.A. Inc., a wholly owned subsidiary of Chevron Corporation (NYSE: CVX), for US$562 million, of which US$ 350 million corresponds to equity and US$ 212 million corresponds to working capital.

CMS has advised German investment fund Luxcara on the acquisition of full control over a company owning the rights to execute a 121 MW photovoltaic project in Guillena (Seville).

The deal is yet a further example of CMS’ dominant presence in the energy market, especially when it comes to green energy projects.

Linklaters acted for Eni on its agreement to acquire from ADNOC a 20% equity interest in ADNOC Refining. The agreed terms for the 20% equity interest acquired by Eni include a cash price of approximately US$3.3 billion (based on an enterprise value of US$3.9 billion for Eni’s share).
