Linklaters advises on landmark transaction in the Nigerian gas to power sector

Linklaters has advised Accugas Limited (“Accugas”), a wholly owned subsidiary of Seven Energy International Limited a leading integrated gas company in Nigeria, on a long term gas sales agreement (the “GSA”), and an accompanying World Bank group credit support package, for the supply of gas to Calabar Generation Company (“Calabar”), one of Nigeria’s National Integrated Power Projects.

Clifford Chance advises General Electric on the sale of GE Industrial Solutions to ABB

Clifford Chance has advised General Electric on the merger control aspects of its $2.6 billion sale of its global electrification solutions business, GE Industrial Solutions to ABB.

Clifford Chance is coordinating the submission of the global (ex-US) merger filings as the transaction is likely to trigger over 15 filings across the globe. The transaction is expected to close in H1 2018, subject to regulatory clearances.

G+T advises Beach Energy on landmark $1.585 billion acquisition of Lattice Energy

Gilbert + Tobin today announced it has been advising Beach Energy Limited on its successful $1.585 billion bid to acquire Lattice Energy Limited, the conventional upstream oil and gas business of Origin Energy Limited.

The acquisition will see Beach Energy acquire all of the issued shares in Lattice Energy and become a leading ASX-listed oil and gas company. The acquisition is subject to approval by the New Zealand Overseas Investment Office and New Zealand Minister of Energy and Resources.

Global law firm White & Case LLP has advised Eren Renewable Energy on its combination with Total, which was announced on September 19, 2017.

Total will acquire a 23 percent indirect interest in Eren Renewable Energy by subscribing to a €237.5 million capital increase. Under the terms of the transaction, Total has an option to take control of Eren Renewable Energy after a period of five years. The completion of the transaction remains subject to the approval of the relevant competition authorities.

Firm Advises on BP Joint Venture to Create Largest Privately-Owned Energy Company in Argentina

Squire Patton Boggs has advised Bridas Corporation on the merger of its interests in Pan American Energy (PAE) with Axion Energy, part of a new joint venture with BP that will create the largest privately-owned integrated energy company in Argentina.

BP owns a 60% stake in oil and gas producer PAE and Bridas owns the remaining 40% of the firm, while refiner and marketer Axion Energy is wholly owned by Bridas.

BP and Bridas will hold equal stakes in the newly created Pan American Energy Group (PAEG). The deal is expected to close early next year.

On September 12, 2017, Tallgrass Energy Partners, LP (NYSE: TEP) (“TEP”) announced that it, along with Tallgrass Energy Finance Corp., a subsidiary of TEP, priced an offering of $500 million in aggregate principal amount of 5.50% senior unsecured notes due 2028 at an offering price equal to 100% of par (“the Notes Offering”).

The Notes Offering closed on Friday, September 15, 2017. TEP intends to use the net proceeds of the offering to repay outstanding borrowings under its existing senior secured revolving credit facility.
