Pinsent Masons advises First Solar on its acquisition and development of the Manildra Solar Farm

Pinsent Masons has advised First Solar (Australia) Pty Ltd on its acquisition from Infigen Energy and development of the 48.5 megawatt (MW) Manildra Solar Farm in New South Wales (NSW), Australia.

The deal will see First Solar leverage its expertise in utility-scale solar development to deliver the project, which will utilise approximately 466,000 First Solar thin-film photovoltaic (PV) modules and single-axis tracking technology. Once constructed, the development will be among the largest solar PV projects in Australia.

NautaDutilh assists PZEM N.V. (previously named DELTA N.V., PZEM), the municipality and province owned integrated utility company of the Dutch province of Zeeland, with the contemplated divestment of Zeeuwse Netwerkholding N.V., including, inter alia, regional network operator Enduris B.V. and De Netwerkgroep Infra B.V. (together DELTA Netwerkgroep or DNWG), to Stedin Holding N.V. for € 610 million (enterprise value).

WOLF THEISS ADVISES PGE S.A. ON THE SALE OF EXATEL S.A.

Warsaw, 31 March 2017 - Wolf Theiss has advised PGE Polska Grupa Energetyczna S.A. (PGE S.A.), a state-owned power company listed on the Warsaw Stock Exchange and one of the largest power producers in Poland, on the sale of 100% of the shares of Exatel S.A. to the Polish State Treasury.

Exatel provides high quality telecom services to many large enterprises and government bodies in Poland and will continue to do so post-closing.

The transaction value was approximately EUR 87 million.

Norton Rose Fulbright advises ARENA on large-scale solar PV competitive funding round

Norton Rose Fulbright has advised the Australian Renewable Energy Agency (ARENA) on the latest project to reach financial close under ARENA’s large-scale solar (LSS) photovoltaics (PV) competitive funding round.

The firm advised ARENA on the funding agreement and all other aspects of the funding for the 48.5 MW Manildra Solar Farm located in regional NSW. The project, which received $9,810,000 of ARENA funding, was developed by Infigen and acquired by First Solar at financial close.

Eversheds Sutherland (International) acts for the Forewind consortium as Statoil and SSE increase their stakes in the wind-farm project at Dogger Bank

SSE and Statoil have each increased their shares in the 4.8 gigawatt Dogger Bank offshore wind development after the companies both acquired additional stakes from exiting consortium partner Statkraft.

The Dogger Bank offshore wind development comprises four projects in the North Sea off the coast of North Yorkshire developed by the Forewind consortium which were granted planning permission during 2015.

Herbert Smith Freehills has advised First Solar on the project financing of its 48.5 MWAC solar PV farm to be located near Manildra in New South Wales.

First Solar successfully achieved completion of the acquisition of the Manildra Solar Farm project entity from Infigen and financial close of the project, which included A$9.8 million of grant funding from the Australian Renewable Energy Agency (ARENA). The project is the latest to reach financial close as part of ARENA’s large-scale solar competitive funding round.

Shearman & Sterling Advises on Japan Nuclear Fuel Limited’s Investment in France’s New AREVA Holding

Shearman & Sterling advised Japan Nuclear Fuel Limited (JNFL) in connection with its undertaking to subscribe to a share capital increase of €250 million in New AREVA Holding, a subsidiary of Areva SA, consolidating all assets relating to Areva’s nuclear fuel cycle activities. This investment would give JNFL an equity stake of 5% in New AREVA Holding. Japanese group Mitsubishi Heavy Industries (MHI) will also invest €250 million alongside JNFL.

Gide, counsel to group SNEDAI on building a 2x350MW coal-fired power plant and related infrastructure in Côte d’Ivoire

The teams of international law firm Gide, working alongside those of Ivorian law firm ADKA, coordinated by François Krotoff (Gide) and Adama Kamara (ADKA), have advised the SNEDAI group in relation to a 2 x 350MW coal-fired power plant in San Pedro, and its related infrastructures. The power plant, which will rely on a highly efficient (“ultra-supercritical”) technology, will be developed by Broto IPP, a subsidiary of S.Energies.
