Shoosmiths advises CDC Group on its investment into Bangladesh manufacturing company

Shoosmiths has advised the UK's development finance institution CDC Group on its $15 million investment into RFL Electronics Ltd, which will grow the Bangladeshi company's manufacturing capacity.

The funding will be used to acquire specialist equipment for RFL Electronics' state-of-the-art facility, in Narsingdi, which produces consumer electronic goods for the local market.

CDC is investing alongside Standard Chartered Bangladesh, which is providing a further $3 million.

Oesterreichische Kontrollbank Notes Offering

Davis Polk advised the underwriters on an SEC-registered offering on Schedule B by Oesterreichische Kontrollbank Aktiengesellschaft (OeKB) of $1.5 billion 2.875% guaranteed global notes due 2023. The notes are guaranteed by the Republic of Austria.

OeKB is primarily engaged in export financing. It administrates the Republic of Austria’s guarantees covering commercial, political and foreign exchange risks in connection with Austrian exports and also provides medium- and long-term financing to banks and foreign importers for Austrian export transactions.

Simpson Thacher Represents International Joint Lead Managers in ¥129 Billion Yakult Global Offering

Simpson Thacher represented the international joint lead managers, Citigroup, Mizuho International plc and J.P. Morgan, in an approximately ¥129 billion (approximately US$1.2 billion) secondary offering of shares of Yakult Honsha Co., Ltd. (“Yakult”). The selling shareholder in the global offering was Danone Probiotics Pte. Ltd. The global offering included an international offering to institutional investors pursuant to Rule 144A and Regulation S.

Dentons advises PASHA Bank on Unsecured Syndicated Loan Facility

Dentons’ Baku office has advised PASHA Bank, a leading investment and corporate bank in Azerbaijan, acting as an arranger for the US$15 million syndicated loan facility.

A Dentons team, headed by partner Kamal Mammadzada and counsel Ulvia Zeynalova-Bockin, acted as lead counsel on the project. Their work included drafting a bilingual Azerbaijani law precedent (based on the LMA precedent), negotiating among multiple parties, and bringing the deal to a close.

Santander Provides £3.5m Funding

The opening of a second Swingers crazy golf site in London has been announced after the company behind it, The Institute of Competitive Socialising, secured a £3.5m funding package from Santander Corporate & Commercial.

Founded by Jeremy Simmonds and Matt Grech-Smith, the Institute of Competitive Socialising first introduced the Swingers indoor crazy golf concept as a pop-up venue in Shoreditch in 2015.

Swingers City opened shortly after that as a permanent venue next to the Gherkin in the City of London.

Listing will be on the Regulated Market of the Frankfurt Stock Exchange (Prime Standard) with start of trading of the shares on or about April 5, 2018.

Norton Rose Fulbright advises on JTC PLC Main List IPO

Global law firm Norton Rose Fulbright has advised financial services firm JTC PLC (JTC) on its admission to trading on the main market of the London Stock Exchange and associated £243.8 million institutional placing.

The IPO placing raised net proceeds of £218.2 million for the selling shareholders and £15.1 million for JTC. JTC was valued at £310 million at admission on March 14, 2018.

The financial adviser was Zeus Capital, the sponsor was Stockdale Securities, and Zeus Capital and Numis Securities were joint bookrunners.
