CMS advises EBRD on public buildings energy efficiency improvement in Ukraine

CMS Cameron McKenna Nabarro Olswang in Kyiv is pleased to announce that our law firm has recently advised the European Bank for Reconstruction and Development (EBRD) on improvement of energy efficiency of public buildings in Ukraine. The city of Kremenchuk in central Ukraine is the first municipality to receive funding under the EBRD’s Public Sector Energy Efficiency Financing Framework (PSEEF). EBRD will provide loan financing of up to €7.5m and a €1.5m grant to the Communal Enterprise “Kremenchuk Municipal Energy Service Company”.

Allen & Overy LLP has advised Commerzbank Aktiengesellschaft in connection with the financing for the Buissons wind farm in France. The wind farm consists of 7 Vestas, V117-3.45 turbines and has a total capacity of 24.15 megawatt. The project developer and operator of the wind farm is Volkswind GmbH, a member of the Swiss AXPO group, which is one of the leading project developers in Germany and abroad.

Allen & Overy advised the underwriters in connection with Lodha Developers' high yield bond tap issuance

HONG KONG – Allen & Overy advised CLSA, J.P. Morgan and UBS as underwriters in connection with the issuance by Lodha Developers of an additional USD125 million of high yield notes, which form a single series with the previously issued USD200 million of notes. The notes are guaranteed by Lodha Developers Private Limited and certain of its subsidiaries and are listed on the Singapore Stock Exchange. Proceeds from the tap offering will be used to refinance Lodha’s existing debt.

Davis Polk advised Grupo Financiero Santander Mexico, S.A.B. de C.V. ("Grupo Financiero Santander Mexico") and Banco Santander (Mexico), S.A., Institucion de Banca Multiple, Grupo Financiero Santander Mexico ("Banco Santander (Mexico)") on Grupo Financiero Santander Mexico's merger with and into Banco Santander (Mexico), its principal subsidiary. Shareholders received one share of Banco Santander (Mexico) for each share of Grupo Financiero Santander Mexico held, and Grupo Financiero Santander Mexico ceased to exist as a separate legal entity upon consummation of the merger.

White & Case Advises Banks on SEK 11 Billion Term Facility Agreement for Tele2

Global law firm White & Case LLP has advised Nordea Bank AB, Citibank, N.A., London Branch and Skandinaviska Enskilda Banken AB, as Original Lenders, on the SEK 11 billion (US$1.3 billion) term facility agreement to Tele2 AB.

Tele2 is a NASDAQ Stockholm-listed telecoms operator and the transaction will finance part of its merger with NASDAQ Stockholm-listed TV cable company Com Hem Holding AB, which values Com Hem at around SEK 26.6 billion (US$3.2 billion).

WFW advises on Q-Energy bond issue for the refinancing of two Spanish photovoltaic plants

Watson Farley & Williams (“WFW”) advised Banco Santander as lender on a €37.750m bond issue by Q-Energy for the refinancing of two photovoltaic plants with a total capacity of 7.1 MW located in Leon and Cordoba, Spain. With this third bonds issue, Q-Energy becomes the platform of reference for renewables project bonds issues in Spain.

The bonds issued are subject to Spanish law, and were subscribed by institutional investors through a private placement and traded on the “Quotation Board” of the Frankfurt Stock Exchange.

WFW advises HSH Nordbank on financing of two photovoltaic plants in France
