Greenberg Traurig, LLP is representing Goldman Sachs International, a leading global investment banking, securities and investment management firm, through its affiliate Bricks Acquisition Limited, in the announced PLN 1 billion tender offer for 100% of shares in ROBYG S.A., one of the leading Polish stock exchange listed developers. The announced tender offer marks the finalization of the strategic investor selection process.

A team led by Munich-based Partner Dr. Mathias Schröder advised BlueGem Capital Partners LLP regarding the acquisition of QMS Medicosmetics GmbH as part of a wider transaction also involving the acquisition of the sister company Descomed Limited as distributor for the English and international market. In this international transaction, Heuking Kühn Lüer Wojtek did closely cooperate with the law firm Gianni, Origoni, Grippo, Cappelli & Partners acting as buyer-side transaction counsel from the common network World Services Group. The purchase price was not disclosed.

WFW advises BPER Banca on Rimorchiatori Napoletani financing

International law firm Watson Farley & Williams (“WFW“) advised BPER Banca S.p.A. (“BPER”) on a €6m+ financing for Italian maritime operator Rimorchiatori Napoletani S.r.l. (“Rimorchiatori Napoletani”) to partially finance the construction of two tug boats built at Turkey’s “Sanmar Denizcilik Makina ve Ticaret AS” shipyard.

The first tugboat, the “Marechiaro”, has already been delivered and registered under an Italian flag. The second will be delivered by the end of December 2017.

Dechert served as legal advisor to China Financial Services Holdings Limited, a Hong Kong listed company (together with its subsidiaries, the “China Financial Group”) in connection with the sale and purchase of certain loan portfolio and certain equity interests from The Bank of East Asia, Limited (“BEA”, a Hong Kong listed company) and Credit Gain Finance Company Limited, a wholly-owned subsidiary of BEA. The aggregate consideration for the acquisitions is approximately HK$1,079 million.

Morgan Securities plc, Natixis and Société Générale, as initial purchasers, in connection with a Rule 144A and Regulation S offering of €400 million in aggregate principal amount of 4.00% Senior Secured Notes due 2027 by Matterhorn Telecom S.A., the parent of Salt Mobile S.A. (“Salt”). The transaction closed on November 27, 2017.

Gide advised Banca IMI S.p.A, Banco Santander S.A, BNP Paribas, ING Bank N.V., Belgian Branch and UniCredit Bank AG as joint-lead managers on the issuance by BNP Paribas Cardif of Tier 3 subordinated bonds issuance for an amount of EUR 750 million due 2024, bearing interest at a fixed rate of 1.00%, admitted to trading on the Euro MTF market of the Luxembourg Stock Exchange.

DLA Piper advises Goldman Sachs in US$102 million sale of 15 industrial properties

DLA Piper represented Goldman Sachs in the sale of a real estate portfolio consisting of 15 industrial properties for US$102 million to Plymouth Industrial REIT.

The industrial buildings in the portfolio, which total three million-square-feet, are 96 percent leased to single and multi-tenants in manufacturing and distribution. DLA Piper also represented Goldman Sachs in the related seller financing transaction.
