Loma Negra Compañía Industrial Argentina Sociedad Anónima $1.1 Billion Initial Public Offering

Davis Polk advised the joint bookrunners and joint global coordinators in connection with the international initial public offering by Loma Negra Compañía Industrial Argentina Sociedad Anónima and Loma Negra Holding GmbH, as selling shareholder, of an aggregate of 53,530,000 American Depositary Shares (including the full exercise of the underwriters’ overallotment option), each representing five of its ordinary shares, at a price per ADS of $19.00.

Ashurst advises HypoVereinsbank of construction of Olympus Group's European headquarters

Ashurst advised HypoVereinsbank on the financing of the construction of the European headquarters for the Olympus Group, the "Olympus Campus", by Campus Properties 1 GmbH & Co. KG, a subsidiary of Zech Group GmbH. A new construction building with a lettable total area of 48.362 sqm is planned.

Norton Rose Fulbright advises Alpha Bank on second shipping securitisation

Norton Rose Fulbright has advised Alpha Bank on its second shipping securitisation, raising US$250 million. The transaction was arranged and financed by Citi.

The financing, a non-recourse 4-year term dollar funding, entailed a unique loan style structure and follows Alpha Bank’s shipping securitisation raising approximately US$500m in 2014, on which Norton Rose Fulbright also advised.

It is the only shipping securitisation transaction to be placed by a Greek bank and one of very few shipping securitisation transactions globally.

Hightown Housing Association retail charity bond issuance shows bond markets can fill charity funding gap

Allen & Overy said today that the Hightown Housing Association retail charity bond issuance demonstrates that the bond markets are an increasingly important source of funding for UK charities.  The bonds were issued today and raised GBP31.5 million, with a further GBP6.5m of retained bonds created for potential sale at a later date.

Ashurst advises banks on refinancing of care home provider DOREA

Ashurst advised a consortium comprising Deutsche Apotheker- und Ärztebank (apoBank), Bank of Ireland, DZ BANK AG Deutsche Zentral-Genossenschaftsbank, Frankfurt am Main (DZ Bank) and SEB AG on refinancing the DOREA Group, an operator of nursing and elderly facilities in Germany. The banks provide Quadriga Capital Private Equity Fund IV LP's portfolio company with an increased credit volume that DOREA intends to use to finance its expansion strategy.

Shearman & Sterling Advises Citigroup Global Markets and Clarksons Platou Securities on Global Ship Lease's $360 Million Bond Offering

Shearman & Sterling advised Citigroup Global Markets and Clarksons Platou Securities, as Joint Bookrunning Managers, on Global Ship Lease's high yield notes offering of $360 million, 9.875% first priority secured notes due 2022. The notes are guaranteed on a senior secured basis by Global Ship Lease and all of its vessel owning subsidiaries. The offering, which was conducted pursuant to Rule 144A and Regulation S under the US Securities Act, closed on October 31, 2017. 

Ashurst advises lenders on two syndicated loan facilities for Hilton Food Group plc

Ashurst advised RBS as coordinator in relation to two new syndicated loan facilities provided by RBS, Barclays and HSBC to Hilton Food Group plc, a leading specialist international meat packing business. The facilities were put in place to part-finance the consideration for the proposed acquisition of Icelandic Group UK Limited, a leading chilled UK fish processor.

Ashurst advises on first project bond in the wind sector in Italy

Ashurst advised BNP Paribas Securities Services as noteholders' representative, security agent, calculation agent and paying agent in connection with the project bond granted to CEF 3 Wind Energy, a company controlled by Glennmont Partners and PGGM Vermogensbeheer, to refinance part of CEF 3 Wind Energy's wind farm portfolio, which is one of Italy’s largest operating wind portfolios with 245 MW of installed capacity.

Advising on the dual listing of a diagnostics company

Simmons & Simmons has advised on the dual listing on AIM of Novacyt, an international diagnostics company whose shares are already listed on the Euronext Growth Market, Paris.

The Simmons & Simmons team, led by partner Charles Mayo, advised the nominated adviser and joint broker Stifel Nicolaus Europe Limited  and joint broker WG Partners on the admission of Novacyt to AIM through placings of shares with new UK institutional investors and new and current French institutional investors to raise EU10m  in total.
