Simpson Thacher Represents Underwriters in $1.25 Billion Senior Notes Registered Offering by ORIX

Simpson Thacher’s Tokyo office recently represented the underwriters, led by J.P. Morgan, Goldman Sachs & Co. LLC and Morgan Stanley, in connection with the offering by ORIX Corporation of $750 million of 2.9% Senior Notes due 2022 and $500 million of $3.7% Senior Notes due 2027. The offering was made pursuant to ORIX Corporation’s newly filed shelf registration statement on Form F-3 under the Securities Act.

The Firm recently represented the international joint lead managers in connection with a follow-on offering of Nippon Prologis REIT, Inc., which included an international offering to institutional investors pursuant to Rule 144A and Regulation S. The offering raised approximately ¥33.1 billion (US$300 million) for the issuer, which was used with bank financing and cash on hand towards the repayment of bridge loans entered into to acquire logistics facilities. Shearman & Sterling advised J.P. Morgan, Jefferies and NatWest Markets in connection with Amigo Luxembourg S.A.’s tap offering of £75 million 7.625% senior secured notes due 2024. The notes are guaranteed by Amigo Loans Group Ltd, Amigo Loans Holdings Ltd, Amigo Loans Ltd (Amigo Loans), Amigo Management Services Ltd and R G Catering Limited.

Houthoff Buruma advised MN acting on behalf of Stichting Pensioenfonds Metaal en Techniek and Stichting Bedrijfspensioenfonds voor de Koopvaardij, in the sale of the office portfolio Mercury to Bryant Park Netherlands Acquisition III. The Mercury portfolio exists of six properties, located in and around Amsterdam, Rotterdam and Utrecht, with a total of 21,567 m2 office space and 1,890 m2 retail space.

Allen & Overy advises on Export-Import Bank of India's inaugural Formosa Bond issuance

Allen & Overy has advised Export-Import Bank of India (Exim) in connection with the Regulation S offering of floating rate Formosa notes due 2022 under its USD10bn global medium term note programme. The dollar-denominated five-year bond raised USD400m for the Indian issuer. The notes were dual listed on the Singapore Exchange and the Taipei Exchange. This transaction marked the maiden Formosa bond issuance by Exim. Formosa bonds are notes that are sold in Taiwan but denominated in foreign currency.

Ashurst advised investor BlackRock and NIBC Bank on financing the acquisition of Pumpenfabrik Wangen GmbH (Wangen Pumpen) by private equity firm Silverfleet Capital.
