Davis Polk advised the underwriters in a registered shelf takedown of 6,612,500 American Depositary Shares by YY Inc. The total proceeds of the shelf takedown were approximately $442 million.

YY Inc. is a NASDAQ-listed company and a live streaming social media platform in China. YY Inc. engages users in real-time group activities through online live media on PCs and mobile devices.

CMS ad­vises Spar­kassen on in­tro­duc­tion of pay­direkt

CMS Hasche Sigle has advised the Sparkassen-Finanzgruppe (German Savings Banks Finance Group) on the introduction of the paydirekt online payment method. The firm was instructed by Deutscher Sparkassenverlag, Landesbank Hessen-Thüringen Girozentrale and Landesbank Baden-Württemberg. paydirekt now enables 15 million Sparkassen customers to pay Internet sellers directly via their online current account. As a consequence, customers no longer need to provide third parties with access to their details, thereby ensuring a high degree of data security.

DLA Piper advises underwriters in YogaWorks IPO

DLA Piper represented the underwriters in the US$40 million initial public offering of YogaWorks, Inc. (NASDAQ: YOGA). YogaWorks is one of the largest and fastest growing providers of high quality yoga instruction in the United States. Cowen and Company, LLC, Stephens, Inc. and Guggenheim Securities, LLC acted as joint book-running managers for the offering. Roth Capital Partners, LLC acted as lead manager and Imperial Capital, LLC acted as co-manager.

Atento Luxco 1 S.A. $400 Million Notes Offering and $50 Million Super Senior Revolving Credit Facility

Davis Polk advised the initial purchasers in connection with Atento Luxco 1 S.A.'s $400 million offering of 6.125% senior notes due 2022, which were issued pursuant to Rule 144A and Regulation S under the Securities Act. The notes are unconditionally and irrevocably guaranteed by Atento S.A., the parent company of Atento Luxco 1 S.A., and certain of its subsidiaries.

Vantiv Acquires Worldpay

Davis Polk is acting as U.S. legal counsel to Morgan Stanley and Credit Suisse as financial advisers to Vantiv, Inc. in connection with its $10.4 billion acquisition of Worldpay Group plc. The transaction is subject to shareholder approvals and receipt of regulatory and merger control approvals, as well as other customary conditions.

Herbert Smith Freehills advises joint lead managers on ANZ's A$1b Offer of ANZ Capital Notes 5 and CPS3 Buy-Back Facility

Herbert Smith Freehills has advised the joint lead managers of Australia and New Zealand Banking Group Limited’s (ANZ) offer of new Additional Tier 1 capital securities known as ANZ Capital Notes 5 (Notes) (Offer).

ANZ also announced a buy-back facility under which eligible holders of CPS3 may apply to sell some or all of their CPS3 and reinvest the proceeds in the Notes or receive cash. The Offer will seek to raise up to A$1 billion.
