White & Case Advises Lenders on Macarthur Wind Farm Debt Refinancing

Global law firm White & Case LLP has advised a group of international lenders on a two-tranche long term debt refinancing of the 50 percent interest in Macarthur Wind Farm in Victoria, Australia, managed by HRL Morrison & Co.

The lender group was a club comprising BNP Paribas, ING Bank (Australia) Limited, Mizuho Bank, Ltd and MUFG Bank, Ltd, with MUFG Bank, Ltd underwriting a long term samurai loan as part of the refinancing.

Matheson Advises on Refinancing of Hibernia REIT’s €400 Million Revolving Credit Facility

Matheson recently advised a syndicate of lenders (consisting of Bank of Ireland, Wells Fargo, Barclays Bank Ireland and AIB) in relation to the refinancing of Hibernia REIT’s €400 million revolving credit facility. The overall new arrangement consists of a €320 million unsecured revolving facility as well as €75 million of unsecured US private placement notes. This transaction was unique in the Irish market, in the sense that it was the first Irish REIT to move to an unsecured debt structure.

EFG Hermes’ Successful First Close of Egypt Education Fund

Shearman & Sterling advised EFG Hermes (EFG) on the successful first close of the Egypt Education Fund, a Dubai International Financial Centre-based fund that focuses on investing in kindergarten to 12th grade (K-12) schools in Egypt. The fund is seeking to raise up to $150 million of capital commitments and is part of a $300 million joint venture platform built in exclusive partnership with Dubai-based GEMS Education. The joint venture platform is dedicated to investing in the Egyptian K-12 education sector with the aim of building Egypt's largest specialized K-12 education company.

GSK Stockmann in Luxembourg advises China Merchants Bank on its launch of their first European-based investment fund

GSK Stockmann’s Luxembourg office has advised China Merchants Bank (CMB) on its launch of CMB Evergreen SA, SICAV-SIF, a Luxembourg investment fund and being the first European-based investment fund of CMB.

The fund is supervised by the Commission de Surveillance du Secteur Financier (CSSF), the Luxembourg financial regulatory authority, as a specialized investment fund (SIF). The fund has been established with several sub-funds offering a wide variety of investment strategies for CMB global private banking clients.

Priority filed plans with the SEC to exchange newly issued shares of its common stock for its currently outstanding warrants. In addition, Priority is seeking consent from holders of the outstanding warrants to amend the warrant agreement. Priority is a leading provider of merchant acquiring and commercial payment solutions.

WFW advises on financing of 50 MW Uruguayan wind park

Watson Farley & Williams (“WFW”) advised Banco Santander, S.A. and Banco Santander S.A. (Uruguay) on the project financing of the 50MW “Estrallada” wind park, in Cerro Largo, Uruguay, operational since 2015. The deal closed on 14 December 2018.

Leading energy company Atlantica Yield purchased the project, simultaneously to the project financing, from Enel Green Power. Atlantic Yield now has a Uruguayan wind portfolio of 150 MW.
