Gide, counsel to BNP Paribas on the setting up of an alliance with the Matmut group in the field of damage insurance, with the creation of a joint venture

Gide is advising BNP Paribas on the setting up of its partnership with the Matmut group. On 17 November, BNP Paribas and Matmut signed a framework agreement formalising the alliance between the two groups in the field of damage insurance, with the creation of a joint venture, which will be 66%-owned by BNP Paribas Cardif, the insurance subsidiary of BNP Paribas group, and 34%-owned by Matmut. Such structure, which will launch its activity in 2018, will provide IARD insurance products (in particular insurance relating to motor, home, school, legal protection, and assistance services).

Gide on the update of the debt securities issue program “Euro Medium Term Notes” of the City of Paris

The City of Paris updated its debt securities issue program “Euro Medium Term Notes” for a maximum amount of 5 billion euros in early November 2016. This move is part of the active management of the City of Paris debt aimed at diversifying its funding sources.

The City of Paris was supported by HSBC France as an Arranger and Barclays Bank, BNP Paribas, Citigroup, Crédit Agricole CIB and Natixis as Dealers.

Outdoor Plus Limited is a leading provider of high-profile, digital advertising sites in the UK, including electronic screens at The One Piccadilly Underpass and the City of London Gateway. Inflexion’s investment will help drive the future growth of Outdoor Plus through acquisitions and capital investment.

Watson Farley & Williams (“WFW”), advised CMB Financial Leasing Co. Ltd (“CMB”) in respect of: (i) the sale of eight container vessels by NOL Liner (Pte.) Ltd to certain Singapore incorporated SPVs wholly owned by CMB International Leasing Management Ltd; and (ii) the bareboat charter of each vessel by the relevant buyer to APL Co. Pte. Ltd.

The transaction was backed by French incorporated CMA CGM, of which both NOL Liner Pte Ltd and APL Co Pte Ltd are indirect subsidiaries.

Linklaters advises National Bank of Canada on RMB3.5 billion deal

Linklaters is pleased to have advised the National Bank of Canada on the issuance of its inaugural panda bond.

The three year bonds were priced at RMB3.5 billion at 3.05 per cent.

“The transaction delivers a strong outcome for the client and is a first for the National Bank of Canada,” said capital markets partner Hwang Hwa Sim.

Mr Sim said the deal represents the first panda bond from a North American issuer, and is extremely significant for the future development of the panda bond market.

Shearman & Sterling LLP represented Deutsche Bank AG, Citigroup Global Markets Limited, ING Bank N.V. and J.P. Morgan Securities plc as representatives of the initial purchasers in connection with Mylan N.V.’s Regulation S offering of €500 million in floating rate notes due 2018, €750 million in 1.250% senior notes due 2020, €1 billion in 2.250% senior notes due 2024 and €750 million in 3.125% senior notes due 2028. The transaction was Mylan’s inaugural euro notes offering.

Milbank Advises International Lenders in $1.5 Billion Loan to Indonesian Oil and Gas Company Pertamina

SINGAPORE, November 28, 2016 – Milbank, Tweed, Hadley & McCloy acted as counsel to a syndicate of 34 international lenders behind a US$1.1 billion loan facility and a $400 million “greenshoe” loan facility that was extended to Indonesia’s state-owned oil and gas company Pertamina, one of Southeast Asia’s largest producers of crude oil.

Davis Polk advised the joint book-running managers and representatives of the underwriters in the $200 million public offering by BeiGene, Ltd. of 6,250,000 American Depositary Shares, of which 5,781,250 ADSs were issued and sold by BeiGene and 468,750 ADSs were sold by certain selling shareholders. The ADSs are listed on the NASDAQ Global Select Market under the symbol “BGNE.”

BeiGene is a global, clinical-stage, research-based biotechnology company focused on targeted and immuno-oncological therapeutics.

Twenty-five per cent of Nordea Liv & Pension sold to customers

Nordea Life Holding AB has sold 25 per cent of its shares in Nordea Liv & Pension to Foreningen NLP that represents the customers of Nordea Liv & Pension. Plesner assisted Nordea Life Holding AB with the transaction.

The price of the 25 per cent of the share capital is DKK 2,175m (EUR 291m). As part of the transaction, Foreningen NLP will further invest DKK 932.5m in hybrid core capital issued by Nordea Liv & Pension.
