ArcelorMittal $1.5 Billion Cash Tender Offer

Davis Polk advised the dealer managers in connection with a cash tender offer by ArcelorMittal S.A. to purchase certain of its U.S. dollar-denominated debt securities.

With steelmaking operations in 19 countries on four continents, ArcelorMittal is the world’s largest and most global steel producer and a significant producer of iron ore and coal. ArcelorMittal’s shares are listed on the NYSE, Euronext Amsterdam, Euronext Paris, the Luxembourg Stock Exchange and the Bolsas de Valores of Madrid, Barcelona, Bilbao and Valencia.

Norton Rose Fulbright advises DBS on S$190m Eu Yan Sang debt refinancing

Global law firm Norton Rose Fulbright has advised DBS Bank Ltd on a S$190m debt refinancing, governed by Singapore law, to Eu Yan Sang International Ltd and certain subsidiaries.

Eu Yan Sang is a leading and trusted integrative health and wellness company that specialises in traditional Chinese medicine and integrative healthcare. It currently runs more than 300 retail outlets in Hong Kong, Macau, China, Malaysia, Singapore and Australia, and operates a chain of TCM clinics in Singapore and regionally.

National Bank of Greece S.A. €1.456 Billion Recapitalization

Davis Polk advised the joint global coordinators, joint bookrunners and co-bookrunners in connection with an offering by National Bank of Greece S.A. (“NBG”) of 1,524,851,811 new ordinary shares at a price of €0.30 per share in private placements outside of Greece. The total gross proceeds from the offering amounted to approximately €457.5 million. The new ordinary shares are listed on the Athens Stock Exchange.

Bank Norwegian : Advice on Providing Cross-Border Services

We advised Bank Norwegian AS, an internet bank offering consumer banking services across the Nordic countries, in establishing its cross-border service offering in Finland. Our expertise on local regulatory aspects was required in relation to offering savings accounts, loans and credit cards as well as with respect to various consumer protection and other regulatory matters. Bank Norwegian is 20% owned by Norwegian Air Shuttle ASA, which operates one of the largest low-cost airline carriers in Europe.

Eversheds advises CDB on financial aspects of Hinkley Point C

Eversheds has advised a consortium of Chinese banks, led by China Development Bank Corporation (CDB), on key financial aspects of the £16 billion Hinkley Point C nuclear new-build project (HPC).

Comprising partners Alex Doughty (London), Jay Ze (Beijing), Samuel Chau (Hong Kong), Kang Qiao (Associate, Beijing) and Lim Jian Liang (Associate, London), the Eversheds team provided advice on the initial c. £4 billion credit facilities, with a further c. £4 billion of facilities to follow.

DLA Piper advised Rand Merchant Bank on R10 billion rights issue by Remgro Limited

DLA Piper has advised Rand Merchant Bank (RMB), a division of FirstRand Bank Limited, in its capacity as the underwriter of the approximately R10 billion rights issue by Remgro Limited. This deal represents one of the largest rights issues in South Africa in 2016.

RMB is a South African diversified financial services brand encompassing investment banking, fund management, corporate banking and advisory services. All businesses in the RMB brand stable form part of the wider FirstRand Group.
