Allen & Overy advises bank consortium in connection with the successful placement of a convertible bond of Klöckner & Co SE

Allen & Overy LLP has advised the bank consortium consisting of BNP Paribas and Credit Suisse Securities (Europe) Limited as joint-lead managers as well as Commerzbank AG, HSBC Trinkaus & Burkhardt AG, Landesbank Baden-Württemberg and UniCredit Bank AG as co-lead-managers in connection with the successful issuance of unsubordinated unsecured convertible bonds of Klöckner & Co SE with a total volume of around EUR 150 million and a maturity of 7 years.

NagaCorp Ltd. $120 Million Private Placement

Davis Polk advised the placing agents for the top-up placement of 190,000,000 shares in NagaCorp Ltd. for a total consideration of approximately $120 million.

NagaCorp is incorporated in the Cayman Islands with its shares listed on The Stock Exchange of Hong Kong Limited. It is primarily engaged in the operation of a hotel and entertainment complex in Cambodia.

The Davis Polk team included partners James C. Lin and Paul Chow, associate Yang Chu and registered foreign lawyer Xuelin (Steve) Wang. All members of the Davis Polk team are based in the Hong Kong office.

Gernandt & Danielsson advises in FastPartner’s issue of corporate bonds in the amount of SEK 600 million. The bonds are issued within the framework amount of MSEK 1,000. The company has undertaken to list the bonds on Nasdaq Stockholm. The proceeds from the bond issue will be used for property acquisitions, refinancing of existing bond debt and general corporate purposes.

Slaughter and May has advised Nordea Bank AB (publ) (Nordea) in connection with its synthetic risk transfer securitisation related to EUR 8.4 billion of Nordea’s corporate and SME loan portfolio. Under the transaction, investors have agreed to invest in notes linked to the junior credit risk of the portfolio.

The transaction was arranged by joint structuring advisers Barclays, J.P. Morgan and Nordea Markets.

Slaughter and May led an integrated team of law firms advising Nordea.

Shearman & Sterling advised BofA Merrill Lynch, Deutsche Bank, Barclays, and CCB International as underwriters in connection with the offering of US$300 million 8.125% senior notes due 2019 by Xinyuan Real Estate.

Xinyuan Real Estate is a NYSE-listed real estate developer and property manager that primarily focuses in China and recently in other countries.

The Shearman & Sterling team was led by partner Alan Yeung (Hong Kong-Capital Markets); with support from associates Yuanjing Chen and Yvonne Chen (both Shanghai-Capital Markets).

Stephenson Harwood advises on landmark stored value license in Hong Kong

Stephenson Harwood has advised TNG on its successful application to the Hong Kong Monetary Authority for a licence to provide stored value facilities (SVF).

TNG was one of only five SVF providers to be granted a licence under the new regulatory regime, established by the Payment Systems and Stored Value Facilities Ordinance.

The TNG Wallet allows users to store prepaid value for online and offline purchases, pay bills, send money to other TNG users, transfer money to any bank account in Hong Kong and make cash withdrawals.

Herbert Smith Freehills Paris LLP assists on €650 million in financing for Avril Group

The Avril Group has just announced it has raised €880 million in financing for its strategic plan AVRIL 2020 through a combination of a €650 million club deal and €230 million in trade receivables securitisation.

AVRIL has thereby boosted its sources of financing:

* the €650 million club deal sees the emergence of a new banking pool organised around the Group's traditional banks and new international partners;
* the existing securitisation programme has been expanded and optimised, going from €150 million to €230 million.

KWM advises on Qube’s $200 million hybrid offering

King & Wood Mallesons (KWM) has acted on Qube Holdings Limited’s (Qube) $200 million hybrid offering.

KWM advised the joint lead arrangers (UBS AG, Australia Branch and National Australia Bank Limited) as well as the joint lead managers (UBS, NAB and ANZ Securities Limited). The proceeds of the offer will be used for general corporate purposes, including the development of the Moorebank project and to fund other growth opportunities for Qube.

Dechert advises FCPR AGIPI Innovation in its stake acquisition in Emova Group

Dechert LLP advised FCPR AGIPI Innovation, represented by its management company Equitis, in connection with the acquisition of 9.62% of the share capital of Emova Group (previously Monceau Fleurs), which represents 9.56% of the voting rights. This investment was made through an off-market purchase of shares from Emova Holding.

Nordea launches its first capital-reducing EUR 8.4 billion synthetic securitisation

On 24 August 2016 Nordea completed the sale of certain credit default swaps; transferring credit risk on EUR 8.4 billion of its corporate loan exposures to a select number of investors.

The risk transfer is achieved through a collateralised CDS structure and no assets will be derecognised from Nordea’s balance sheet. The transaction includes a broad selection of assets from Nordea’s core corporate loan book and does not target any specific sectors/geographies. Nordea will continue to service the loans.
