Swedbank appoints Capgemini to establish a new lending IT platform, enabling the complete and group wide digitalisation of the bank’s loan processes

Swedbank has entered into a framework agreement with IT services provider Capgemini, with the aim to establish a new IT platform for the group wide digitalisation of the bank’s loan processes. The platform will, amongst other things, enable the complete digitalisation of the bank’s lending retail products, further improve the bank’s corporate lending process, and enable an even more efficient handling of life cycle issues within Swedbank’s IT environment.

WFW advise BayernLB on UK solar PV portfolio financing

International law firm Watson Farley & Williams (“WFW”) advised BayernLB in connection with the financing of eight solar PV plants of up to 5MW each at five sites across England and Wales, three of which are community interest companies (“CICs”). BayernLB provided long term, secured project financing of circa £30m partly refinanced by the German KfW (Kreditanstalt für Wiederaufbau) renewable energy support scheme. The solar plants were acquired by the German asset manager Luxcara for its fund portfolio for institutional investors.

King & Wood Mallesons advises Everbright Securities on its initial public offering of H-shares in Hong Kong

King & Wood Mallesons (KWM) has advised Everbright Securities Co., Ltd. (Everbright Securities) on its initial H-share issuance on the main board of Hong Kong Stock Exchange (Stock code: 06178) . Everbright Securities issued 680 million H shares (before exercising the overallotment option) priced at HK$12.68 per share, raising approximately HK$8.6 billion.

Clifford Chance advises on Australia's first utility scale integrated solar and battery project

Leading international law firm Clifford Chance has advised on the financing of Australia's first integrated solar and storage project of scale. Located in Far North Queensland, the Conergy-sponsored project comprises a 13MWp/10.8MWac solar PV array with an integrated grid connected 1.4MW/5.4MWh lithium-ion battery.

Norddeutsche Landesbank Girozentrale, the sole debt financier to the project and Clifford Chance's client on the transaction, has provided a 15-year non-recourse financing facility.

Macquarie Capital acts as underwriter of the A$80m fully underwritten institutional placement by Metcash

Baker & McKenzie successfully acted for Macquarie Capital (Australia) Limited as sole lead manager and underwriter of the A$80m fully underwritten institutional placement by Metcash Limited.
Metcash Limited is Australia's leading wholesale distribution and marketing company specialising in grocery, fresh produce, liquor, hardware and other fast moving consumer goods.  The proceeds of the placement will be used to partially fund Metcash's A$165 million acquisition of Home Timber & Hardware from Woolworths Limited.

Davis Polk advised The Royal Bank of Scotland Group plc (RBSG), a public limited company incorporated under the laws of Scotland, in connection with its SEC-registered offering of $2.65 billion aggregate principal amount of 8.625% perpetual subordinated contingent convertible additional tier 1 capital notes (callable August 15, 2021, and every five years thereafter) (the “Notes”).

Bankernes Kontantservice sold to Loomis

Bankernes Kontantservice has just been sold to the Loomis group. Plesner has advised the Danish Central Bank and the selling banks on the transaction.
Bankernes Kontantservice (BKS) has approximately 340 employees and is a specialist in managing cash for stores, businesses, local authorities and banks.

BKS was originally established in 2010 when a number of banks joined their functions to handle money counting and cash transport. The Danish National Bank and the majority of the Danish banks owned BKS.

Dentons advises Mezzanine Capital on two mezzanine loans in the Czech Republic

Dentons advised the lender Mezzanine Capital on its first two financing transactions. The first transaction was a EU12.5 million mezzanine loan to Medicon Group to fund the acquisition of ProNatal Medical Business. The deal involved negotiations of intercreditor arrangements with a senior lender and a complex financing structure with more than 30 obligors across four jurisdictions. Senior financing was provided by UniCredit Bank Czech Republic and Slovakia, a.s.

Clifford Chance advises on Bank of China's five tranche, multi-currency US$3.03 billion green bonds

Leading international law firm Clifford Chance advised the joint lead managers on Bank of China's issuance of US$3.03 billion green bonds, the largest green bond issued by a Chinese entity in the international market and the first time that two offshore branches of a PRC-based financial institution have issued green bonds. The green bonds consist of one CNY, three USD and one EUR tranches. All of the net proceeds of the green bonds will be used to fund eligible green projects.
