Houthoff Buruma advised Bank of America in a USD 150 Million secured finance transaction

We advised Bank of America in a USD 150 Million secured finance transaction with a US based multinational chemical corporation. The complex Dutch partnership structure of the borrower created some interesting challenges with respect to the security package to which we found appropriate solutions. We worked together with US co-counsel Shearman & Sterling in this matter.

Pinsent Masons advises Numis on £75 million Cambridge Innovation Capital fundraising

International law firm Pinsent Masons has advised Numis on a £75 million fundraising for University of Cambridge investor, Cambridge Innovation Capital (CIC).

The funds will be used to provide investment to CIC's portfolio of technology businesses developed by the University of Cambridge and the wider Cambridge cluster, Europe's largest technology hub.

CIC launched in 2013 to provide growth capital to local tech businesses providing long term capital to support the sustained growth of investee companies.

Herbert Smith Freehills advises Pepper Group Limited on its second A$400m whole loan sale in 2016

Herbert Smith Freehills has advised leading non-bank lender Pepper Group Limited on its second A$400 whole loan sale transaction in Australia in 2016.

The whole loan sale was comprised of a portfolio of residential mortgage loans, and will facilitate further diversification of Pepper’s sources of funding outside of its regular securitisation programs.

The Herbert Smith Freehills team was led by partner Mark Currell, who was supported by senior associate Jacob Kahwaji.

Allen & Overy helps ONGC access international debt capital markets again

Allen & Overy advised Citigroup and Standard Chartered Bank as Joint Global Coordinators, and with DBS Bank Ltd., Mizuho Securities, MUFG and SMBC Nikko, as Joint Lead Managers, in connection with ONGC Videsh Vankorneft Pte. Ltd. (OVVL)’s USD1 billion notes issuance. OVVL is the wholly-owned subsidiary of  ONGC Videsh Limited (“ONGC Videsh”), the overseas arm of Oil and Natural Gas Corporation Limited (ONGC).  ONGC is India’s largest and flagship oil and gas exploration and production company, which is majority-owned by the Indian government.

GFKL Lowell acquires Tesch Inkasso

Baker & McKenzie advised GFKL Lowell Group, a European leader in credit receivables management, on the acquisition of Tesch Inkasso. Tesch Inkasso is a leading German third party collections company. The seller is the PE company Avedon Capital Partners. Closing is subject to antitrust approval.

Baker & McKenzie advised GFKL Lowell on all legal aspects of the transaction.

Basellandschaftliche Kantonalbank (BLKB) and the Swiss robo-advisor True Wealth AG have entered into a strategic partnership. BLKB further acquired a minority stake in True Wealth.

Shearman & Sterling Advises on Lippo Karawaci’s High Yield Bond Offering

Shearman & Sterling advised Citigroup, Deutsche Bank, UBS, Bank of America Merrill Lynch, and Credit Suisse as underwriters on the issuance of US$260 million 7% senior notes due 2022 by Indonesia-listed PT Lippo Karawaci Tbk (Lippo Karawaci). The notes were issued under Regulation S and are traded on the Singapore Exchange Securities Trading Limited.

China Everbright Securities is one of the largest securities brokerage by assets in China and is controlled by state-owned financial conglomerate, China Everbright Group.
