Ashurst advises bank consortium on the financing of the acquisition of United Initiators by Equistone

Ashurst advised an international bank consortium on the financing of the acquisition of United Initiators GmbH & Co. KG (United Initiators) by finance investor Equistone. The producer of speciality chemical initiators, headquartered in Pullach near Munich was sold by private equity firms, Vision Capital LLP und Speyside Equity.

The parties have agreed not to disclose the purchase price and financing volume.

Clifford Chance advises on China Everbright Securities' US$1.03 billion IPO

Leading international law firm Clifford Chance has advised the underwriters, including Everbright Securities, UBS and Merrill Lynch, on China Everbright Securities' US$1.03 billion listing on the Hong Kong Stock Exchange. China Everbright Securities is one of the largest securities brokerage by assets in China and is controlled by state-owned financial conglomerate, China Everbright Group.

Allen & Overy advises India EXIM on inaugural Rule 144A bond issue

Allen & Overy has advised Export-Import Bank of India (EXIM) on its inaugural USD1 billion Rule 144A/Reg S bond issue.
EXIM is wholly owned by the Indian government and is India’s premier export finance institution.  The bond deal attracted strong interest from US investors, which have previously had little access to Indian sovereign credit.
 
The issuance, which closed on 5 August, was completed under EXIM’s USD10 billion Global Medium Term Note Program, which Allen & Overy recently helped to establish.
 

Norton Rose Fulbright advises on USD 1.7 billion financing for Emirates NBD

Global law firm Norton Rose Fulbright has advised Bank of America Merrill Lynch as Documentation Agent and Joint Coordinator and Emirates NBD Capital as Joint Coordinator, on a USD1.7 billion term loan facility for the Dubai based bank Emirates NBD PJSC.

The loan received strong support from the market with 19 banks participating in a deal that was substantially over-subscribed in what is likely to be one of the largest club facilities in the financial institutions sector in the Gulf region this year.

Dentons advises Tatra banka on the largest real estate loan on the Slovak market in 2016

Dentons' Bratislava office advised Tatra banka, a member of the Raiffeisen Group, on the syndicated loan of €250 million to refinance the Eurovea multifunctional complex in Bratislava.

The syndicated loan was arranged by Tatra banka. The other banks involved include Komercni banka (a member of the Société Générale Group) and Všeobecná úverová banka (a member of the Intesa Sanpaolo Group).

Shearman & Sterling Advises on The Royal Bank of Scotland’s $2.65 Billion AT1 Offering

Shearman & Sterling represented the underwriters, led by RBS Securities Inc., in connection with The Royal Bank of Scotland Group’s offering of $2.65 billion aggregate principal amount of 8.625% perpetual subordinated contingent convertible additional tier 1 capital notes (callable August 2021 and every five years thereafter). The joint bookrunners included Citigroup, Deutsche Bank, J.P. Morgan and UBS Investment Bank.

UBS Group Funding (Jersey) Limited completed its issuance of USD 2 bn 2.65% Fixed Rate Notes and USD 500 m Floating Rate Notes guaranteed by UBS Group AG under its USD 30 bn Senior Debt Programme

On August 10, 2016, UBS Group Funding (Jersey) Limited completed its issuance of 2.5 bn Bail-In Bonds under its USD 30 bn Senior Debt Programme. The USD 2 bn 2.65% Fixed Rate Notes due February 2022 and the USD 500 m Floating Rate Notes due 2022 (together, the "Notes") have been issued on a Rule 144A/RegS basis and will be listed on the SIX Swiss Exchange Ltd.

On August 10, 2016, UBS Group AG completed its issuance of USD 1.1 bn 7.125% Tier 1 Capital Notes.
