White & Case Advises Bank Zachodni on PLN 1.56 Billion Financing for Offer to Acquire Amrest Shares

Global law firm White & Case LLP has advised Bank Zachodni WBK S.A., a member of Santander Group and one of the largest financial institutions in Poland, on the indirect financing to guarantee the potential acquisition by the fund FCapital Dutch B.V. of up to 34.29 percent of the shares in AmRest Holdings SE.

FCapital submitted the offer to acquire up to 7,274,379 shares at PLN 215 per share, valuing the transaction at up to PLN 1.56 billion (approximately €356 million).

Clifford Chance advises on US$100 million National Bank of Oman tap issuance

Clifford Chance's Dubai Office has advised Crédit Agricole Corporate and Investment Bank and National Bank of Abu Dhabi P.J.S.C. as joint lead managers on the tap issuance by the National Bank of Oman SAOG of US$100 million 3.125% notes due 2019 (to be consolidated, become fungible and form a single series with the US$500 million 3.125% notes due 2019 issued on 7 October 2014), under the Irish Stock Exchange listed US$600 million euro medium term note programme established by the National Bank of Oman SAOG (the Programme).

Simpson Thacher Acted as Sole International Counsel in US$400 Million Notes Offering by KT Corporation

Simpson Thacher acted as sole international counsel in connection with the offering of US$400 million 2.5% Notes due 2026 by KT Corporation. The offering was conducted in reliance upon Rule 144A and Regulation S under the U.S. Securities Act of 1933, as amended.

KT Corporation is the leading telecommunications service provider in Korea. BNP Paribas, Citigroup Global Markets Inc., Merrill Lynch International and Nomura International plc were joint bookrunners for the offering.

Sidley Advises Wells Fargo Bank NA on the Purchase of its London based European Headquarters

Sidley represented Wells Fargo Bank NA in the purchase of its new European headquarters based in London.

The acquisition of 33 Central is one of the largest London property deals to be sealed since the June 23 Brexit referendum.

Wells Fargo, the world’s largest bank by capitalization, bought the office from Slovak developer HB Reavis who are due to finish construction in the autumn of 2017.

White & Case Advises Bank Degroof Petercam on Transfer of Participation in Landolt & Cie

Global law firm White & Case LLP has advised Bank Degroof Petercam on the transfer of its minority participation in Landolt & Cie SA to Landolt Holding SA.

The Brussels office of White & Case advised Bank Degroof on its merger with Petercam in 2015, and has now advised the merged entity on the transfer of its 25 percent share in Landolt & Cie to Landolt Holding SA, an entity owned by the Landolt family. The closing took place in Lausanne on July 15, 2016.

Simpson Thacher Represents Underwriters in Dual-Listed Initial Public Offering of LINE Corporation

The Firm represented the underwriters, led by joint global coordinators Morgan Stanley, Nomura Securities, Goldman Sachs and J.P. Morgan, in the initial public offering of LINE Corporation. A total of 35,000,000 shares of common stock were sold in the global offering, including 22,000,000 shares (deliverable in the form of shares or American Depositary Shares (ADSs)) in an international offering, including the United States, and 13,000,000 shares sold as part of a domestic Japanese offering.
