Kirkland & Ellis Represents J.P. Morgan in CVC Capital Partners-led Funds’ US$1.1 billion Proposed Privatization of Nirvana Asia Ltd

Kirkland & Ellis is acting for J.P. Morgan, as financial adviser, in connection with CVC Capital Partners-led funds’ US$1.1 billion proposed privatization of Nirvana Asia Ltd (HKSE: 1438) by way of a scheme of arrangement.  Nirvana is the largest integrated funeral and bereavement care provider in Asia, with operations in six countries across Asia. The deal was announced on July 8, 2016.
 
The Kirkland team is led by Hong Kong corporate partners Nicholas Norris and Joey Chau and debt finance partner David Irvine.

WFW advises EBRD on €10m Cyprus photovoltaic park debt financing

International law firm Watson Farley & Williams (“WFW”) advised the European Bank for Reconstruction and Development (“EBRD”) on a €10 million English-law, cross-border financing for the construction, development and operation of five solar photovoltaic parks in Cyprus, with a total capacity of 11.9MW. The parks are located across the island at Frenaros, Nisou, Dhali, Paliometocho and Malounta.

WFW advises Intesa Sanpaolo and Belenergia on €42m financial restructuring

International law firm Watson Farley & Williams (“WFW“) successfully advised Intesa Sanpaolo, acting as lender and agent, on the financial restructuring of six special purpose vehicles (“SPVs”), as well as Banco di Napoli also, acting as lender, on three of the aforementioned restructurings.
The SPVs, all entirely owned by Belenergia S.A., own ten photovoltaic plants, with an aggregated capacity of 10 MW, located in the Apulia, southern Italy.

DLA Piper advises bank consortium on financing of Frankfurt real estate development Upperzeil

DLA Piper has advised a consortium comprising the banks, Helaba Landesbank Hessen-Thüringen and Bayerische Landesbank, a German real estate financier and commercial bank respectively, on the financing of the UpperZeil development in Frankfurt. It contains 14,840-m² of commercial space and is located in the inner city area of Frankfurt.

Davis Polk Advises Bank SinoPac on the Sale of SinoPac Bancorp

Davis Polk is advising Bank SinoPac on the sale of its U.S. subsidiary, SinoPac Bancorp, to Cathay General Bancorp for $340 million, subject to certain adjustments. Under the terms of the definitive agreement, Cathay has the option to pay up to 10% of the consideration in Cathay common stock. The transaction is expected to close in the first half of 2017, subject to regulatory approvals and other customary closing conditions.

Loyens & Loeff assisted Obvion on the structuring and issue of the world’s first green residential mortgage backed security transaction

Obvion, one of the Netherlands’ leading mortgage providers, raised circa EUR 500 million through the issuance of green bonds, backed by mortgages secured on houses that meet certain environmental standards. The bonds, the first of their kind worldwide, were certified with Moody’s Green Bond Assessment.

Loyens & Loeff acted as legal advisor to Obvion and as such drafted the prospectus and the transaction documents and helped to structure the transaction.

Loomis divests general cargo services

Loomis AB has entered into an agreement to divest its general cargo services to Rhenus Alpina AG. The general cargo services were acquired as part of the VIA MAT acquisition in 2014. The divested operations offer international cargo services by air, sea, road and rail and is deemed none-core for Loomis. VISCHER advised Loomis. The VISCHER team was led by Dr. Benedict F.
