White & Case Advises Bank Consortium on Financing of Eurocash S.A.

White & Case LLP has advised a consortium of banks consisting of Bank Zachodni WBK S.A., Bank BGZ BNP Paribas S.A., Bank Gospodarstwa Krajowego, Bank Polska Kasa Opieki S.A. and mBank S.A. on the financing in the form of a revolving credit of up to PLN 700 million (around US$180 million) for Eurocash S.A.

The funds made available to Eurocash will be used to repay part of its existing short term financial debt and for the company’s general corporate purposes.

Milbank Advises Visa Inc. on its Acquisition of Visa Europe for up to €21.2 billion

Milbank, Tweed, Hadley & McCloy LLP has advised Visa Inc. on its agreement to acquire Visa Europe, creating a single global payments business.

The transaction consists of upfront consideration of €16.5 billion with the potential for an additional earn-out of up to €4.7 billion, including interest, payable following the fourth anniversary of closing, for a total value of up to €21.2 billion.  Both companies’ boards were unanimous in their support of the transaction.

Herbert Smith Freehills advises Joint Lead Managers on AMP’s A$230 million Capital Notes issue

Herbert Smith Freehills has advised the Joint Lead Managers of AMP Limited’s (AMP) offer of new Tier 1 hybrid securities known as AMP Capital Notes 2 (AMPCN2), which are fully paid, perpetual, unsecured, subordinated, non-cumulative, mandatorily convertible notes issued by AMP (Offer). The Offer was intended to raise A$200 million, but was increased to at least A$230 million following the institutional bookbuild.

AMPCN2 are offered at an issue price of A$100.

White & Case Advises Lenders on €655 Million Offshore Belgian Wind Farm

White & Case LLP has advised a consortium of senior lenders consisting of the European Investment Bank, BNP Paribas Fortis, Rabobank, SMBC, Mizuho Bank, EKF and GIEK, on the provision to Nobelwind of €460 million in funding for the €655 million construction and operation of a 165 megawatt offshore wind farm located on the Bligh Bank, around 46km off the Belgian coast.

Baker & McKenzie recently acted as the regulatory counsel advising AXA in the disposal of its pension business in Hong Kong and the regulatory approval process. AXA and Principal Financial Group (Principal) entered into an agreement for the sale of AXA's Mandatory Provident Fund (MPF) and Occupational Retirement Schemes Ordinance (ORSO) businesses in Hong Kong. AXA and Principal also entered into a 15-year exclusive distribution agreement under which AXA will distribute the MPF and ORSO schemes through AXA's proprietary networks in Hong Kong.
