Schellenberg Wittmer advises on sale of KBL Switzerland to Banque Internationale à Luxembourg (BIL)

KBL European Private Bankers, a leading Luxembourg private bank, has completed the sale of its Swiss subsidiary KBL Switzerland, with its main office in Geneva and branches in Zurich and Lugano, to BIL - Banque Internationale à Luxembourg (Suisse).

Schellenberg Wittmer acted as legal counsel to the seller. The Schellenberg Wittmer team consisted of partner Jean Jacques Ah Choon (overall lead, corporate/M&A), senior associates Philippe Nicod and Pascal Hubli (both Corporate/M&A) and associate Grégoire Tribolet (banking regulatory).

Norton Rose Fulbright has advised ING Bank N.V. (ING) and Sumitomo Mitsui Banking Corporation (SMBC) on an approximate US$1.26 billion loan to Tartaruga MV29 B.V. (TARMV29). TARMV29 is incorporated in the Netherlands and each of MODEC, Inc. (MODEC), Mitsui & Co., Ltd., Mitsui O.S.K. Lines, Ltd. and Marubeni Corporation have an equity stake.

Squire Patton Boggs in Singapore has announced that it is representing HSBC Securities, Axis Capital, ICICI Securities and Edelweiss Capital as US/international counsel on the approximate US$300 million Initial Public Offering (IPO) by Equitas Holdings Limited, one of the largest non-banking financial services companies in India. Equitas is the first Indian small finance bank to go to market and one of the largest initial public offerings out of India this year.

Ashurst advised Numis Securities Limited and Barclays Bank PLC as joint bookrunners in connection with the £35.4 million placing to partly fund the proposed acquisition of Local World Holdings Limited by Trinity Mirror plc, a deal that will create the UK's largest regional newspaper group.  Ashurst also acted for Numis Securities Limited as sponsor in connection with the proposed acquisition, which constitutes a Class 1 transaction under the Listing Rules.

Allianz SE to sell Allianz Suisse Rückversicherungs-Gesellschaft AG to Glacier Reinsurance AG

On October 7, 2015 Allianz SE (DAX: ALV) signed an agreement to sell Allianz Suisse Rückversicherungs-Gesellschaft AG to Glacier Reinsurance AG, a wholly owned Swiss subsidiary of Catalina Holdings (Bermuda) Ltd. The terms of the transaction have not been published.

Allianz Suisse Rückversicherungs-Gesellschaft AG is a Swiss regulated reinsurer. On June 30, 2015 - adjusted for pre-transaction dividends - Allianz Suisse Re had total assets of CHF 87 million, gross reserves of CHF 41 million, and shareholder equity of CHF 42 million.

KWM assists Macquarie Group fund Esanda acquisition

King & Wood Mallesons (KWM) have advised Macquarie Group on the debt and equity funding for its $8.2 billion purchase of Esanda.

The purchase will see Macquarie's motor vehicle finance assets climb to $17 billion, from $9 billion.

The KWM equity capital markets team comprised partners Evie Bruce and David Eliakim and senior associates Henrik Moritz, Andrew Phillipson, Scott Phillips and solicitor John Arthur. The KWM banking team included partner Ken Astridge, senior associate John Eagleton and solicitors June Guo and Susie Nguyen.
