Norton Rose Fulbright advises on US$755 million Kraken FPSO financing

Norton Rose Fulbright has advised OCBC Bank (Malaysia) Berhad and a syndicate of lenders on the US$755 million limited recourse project financing of the “Armada Kraken” floating production storage and offloading vessel (FPSO) for Bumi Armada Berhad, which will be located at the Kraken oil field in the UK Sector of the North Sea.

Linklaters advises on €3.7bn acquisition of LeasePlan

Deal is one of the largest sponsor-led financial services acquisitions so far this year

Linklaters has advised a consortium of long-term investors on the €3.7bn acquisition of LeasePlan, the Dutch vehicle management company, from a joint venture involving Volkswagen and the Dutch company Fleet Investments.  The deal, which is one of the world’s largest sponsor-led financial services acquisitions seen this year, is expected to close in late 2015, subject to regulatory and antitrust approvals.

Gide advises on EURO-GALAXY IV CLO B.V.

Gide London has advised Crédit Industriel et Commercial SA (CIC Paris) as a senior noteholder and as co-collateral manager in EURO-GALAXY IV CLO B.V., a new €335.1 million Collateralized Loan Obligation (CLO) transaction. PineBridge Investments Europe Limited acted as lead collateral manager in this new CLO under which several different classes of notes have been listed on the Irish Stock Exchange and rated by Standard and Poor’s and Moody’s.

Shearman & Sterling Advises Eurobank on Acquisition of Alpha Bank Bulgaria

Shearman & Sterling is advising Greece’s Eurobank Ergasias (“Eurobank”) on the acquisition of Alpha Bank’s Branch in Bulgaria (“Alpha Bank Bulgaria”) by Eurobank Bulgaria (“Postbank”), its subsidiary in Bulgaria. The parties have reached a preliminary agreement on the Transaction, which is expected to close by the end of 2015 and is subject to execution of final transaction documentation as well as customary conditions and the necessary approvals by authorities. This is the first consolidation of its kind in the Balkan market.

Baker & McKenzie advised Crédit Agricole and its subsidiary Silca in charge of the IT services of the group, as part of the creation of a joint company with Capgemini, one of the world leaders in consulting, IT services and outsourcing.

The joint venture, operated by Capgemini, aims to provide computer services dedicated to SILCA and other entities of Crédit Agricole Group.

Norton Rose Fulbright advises Rabobank on EUR85m Pickenpack refinancing

Norton Rose Fulbright has advised Rabobank on the EUR85 million refinancing of a 2012 loan facility to Pickenpack, a leading supplier and distributor of private label/co-pack frozen seafood products in Europe.

A cross-border team comprising lawyers in Hong Kong, Frankfurt and Paris worked on the transaction, a multi-tranche borrowing base facility, including a complicated release and security arrangement in multiple jurisdictions, arranged by Rabobank Hong Kong, Unicredit Bank AG, Deutsche Bank AG Filiale Deutschlandgeschäft and China CITIC Bank International Limited.

Ashurst advises banks on the increase of textile trader Schustermann & Borenstein's credit facilities

Ashurst advised the bank consortium in connection with increase of the existing credit facilities of Schustermann & Borenstein group. The consortium comprised Bremer Kreditbank AG, DZ Bank AG Deutsche Zentral-Genossenschaftsbank, Frankfurt am Main, HSH Nordbank AG, IKB Deutsche Industriebank AG, ING Bank, Raiffeisen Bank International AG and UniCredit Bank AG. Schustermann & Borenstein is a portfolio company of private equity firm ARDIAN (formerly AXA Private Equity).

Ashurst advises Nomura on placement of new shares by Golden Meditech

Ashurst Hong Kong acted for Nomura International (Hong Kong) Limited in the HK$140 million placement of new shares by HKSE-listed Golden Meditech Holdings Limited to Atlantis Investment Management (Hong Kong) Limited.  Nomura acted as the placing agent in the placement. Golden Meditech is a leading integrated-healthcare device and service operator in the PRC. Golden Meditech intends to apply the net proceeds from the placement for the acquisition of shares in NYSE-listed China Cord Blood Corporation by way of a general offer.
