WFW advises KfW IPEX and SEB on the ECA-backed financing of a 60 MW wind farm in Silute, Lithuania

Watson Farley & Williams (“WFW”) has advised a consortium of international banks on the € 91.3 million financing of a wind farm located in Silute, Lithuania. The consortium consisted of KfW IPEX-Bank GmbH, Frankfurt, SEB AG, Frankfurt, and AB SEB Bankas, Vilnius, Lithuania, as well as Skandinaviska Enskilda Banken AB (publ) as agent and security agent, while the wind farm was developed by Nelja Energia A.S, the biggest wind energy producer in the Baltic region.

White & Case Advises Banks on Eighth BTP Italia Bond Issue

White & Case LLP has advised Banca IMI S.p.A. and UniCredit S.p.A., as dealers, and ICCREA Banca and Method Investment as co-dealers, on the issuance by the Republic of Italy of approximately €10.76 billion eight-year BTP Italia bonds that are linked to Italian inflation.

The offering was carried out over two separate periods. The first is targeted at retail investors and the second is focused on institutional investors.

Latham & Watkins Advises GF Securities on Ground-breaking Hong Kong IPO

Hong Kong team advises on what will be one of Hong Kong’s biggest issuances of the year.

With today’s Hong Kong listing of GF Securities - China’s fourth largest brokerage by assets - Latham & Watkins has advised on all three of 2015’s largest Hong Kong IPOs to date.

GF Securities’ market debut is expected to be the biggest listing in the territory so far this year. Priced at HK$18.85 per H share, the top of its indicative price range, the sale of 1.48 billion new shares is expected to raise US$3.6 billion.

DLA Piper has advised US-based On Deck Capital, Inc. on its joint venture with MYOB and a group of local investors to create On Deck Capital Australia Pty Ltd.

Australia is On Deck’s first market outside North America. In expanding to Australia, On Deck has partnered with MYOB and a group of prominent Australian technology investors including Andrew Bassat and Jason Lenga (Seek), Gavin Solsky (Healthshare) and Cameron Poolman (Graysonline).

The Hong Kong office of law firm Eversheds has advised Oriental Patron Asia Limited and Oriental Patron Securities Limited on the HK$132 million initial public offering (IPO) of In Construction Holdings Limited. The company was successfully listed on 16 April 2015.

In Construction Holdings Limited is a contractor in the foundation industry in Hong Kong. It engages in foundation and associated works in the private sector construction projects, with an emphasis on design and build projects.

DLA Piper successfully represents the Bank of China in $670 million litigation

DLA Piper (Canada) LLP successfully aided the Bank of China in bringing to justice the last two participants in a global scheme to launder millions of dollars stolen from the Bank. In a civil judgment released on April 16, 2015 in Bank of China v. Xu Chao Fan, the British Columbia Supreme Court ordered one of the defendants to pay the Bank CAD $670 million, and held the other liable for over CAD $2.5 million. This is a precedent-setting case – in result, in amount, and in the process by which the case was proven in court.

Ashurst advises UniCredit and Banco Santander on the financing of Nuova Energia

Ashurst advised UniCredit S.p.A. and Banco Santander S.A. Milan in relation to a €65.2 million project financing to Nuova Energia S.r.l., which owns a 72 MW wind farm in the municipalities of Gravina and Poggiorsini, in the Puglia region (Italy).

The sponsors of the transaction are Fri-El Green Power SpA and Golden Agri Resources. It is one of the few wind project financings closed in Italy in the last 12 months and one of the first project financings benefitting from a feed-in tariff, instead of green certificates.
