Onex Corporation acquires SIG Group

Lenz & Staehelin advises the lead arrangers on the bank / bond financing of the EUR 3.75 billion acquisition by Onex Corporation of the SIG Group, one of the world's leading system suppliers of carton packaging and filling machines for beverages and food.

The Baku office advises the Islamic Corporation for the Development of the Private Sector

Dentons’ office in Baku recently advised the Islamic Corporation for the Development of the Private Sector (ICD) on a financing agreement with Muganbank, a major local bank in Azerbaijan, on Commodity Murabaha and Wakala transactions, extending its market-leading experience in Islamic finance.

The ICD line of financing will be used to finance small and medium-sized enterprises (SMEs) in Azerbaijan operating in manufacturing, trade, industrial, agricultural and other sectors.

Papworth Hospital NHS Foundation Trust project

Ashurst acted as legal advisers to KfW IPEX-Bank GmbH and European Investment Bank as funders to the Papworth Hospital NHS Foundation Trust project.  Ashurst was selected as shadow legal funders by Papworth Hospital NHS Foundation Trust in 2011 with their engagement being novated to the preferred bidder, a consortium comprising Skanska and Equitix and then to the funders following a funding competition.

Deacons advises on three Hong Kong IPO debuts on the same day

Deacons recently acted for the sponsors and underwriters in the Main Board IPOs of three companies, Suchuang Gas Corporation Limited (a Jiangsu-based natural gas operator), Beijing Chunlizhengda Medical Instruments Co., Ltd. (China’s leading maker of bone implants) and KTL International Holdings Group Limited (a fine jewelry exporter).  All three firms made their debuts on 11 March 2015.

Eversheds advises Legal & General on 50% stake in MediaCityUK

Eversheds has advised Legal & General Capital (LGC) on the purchase of a 50% interest in The Peel Group’s MediaCityUK scheme at Salford Quays, Manchester, which is currently valued at £503 million.

MediaCityUK is the largest purpose-built creative, digital and technology community in Europe, and the UK’s first media campus. Home to BBC, ITV and the University of Salford, MediaCityUK aims to be a broadcasting hub that enables businesses to operate across all media sectors.

Hogan Lovells Advises Equitable Life Assurance Society on Sale of £875M Annuity Business

Hogan Lovells has advised The Equitable Life Assurance Society on the sale of an annuity business with liabilities of around £875 million to Canada Life Limited. The transaction was announced on 3 March 2015.

The transaction has been structured as an initial reinsurance, which will be followed by a transfer of the annuity policies under Part VII of the Financial Services and Markets Act 2000. The business comprises approximately 31,000 policies, representing the bulk of Equitable Life's remaining annuity business.

Clifford Chance advises on Thailand's first dim sum bond issuance

Clifford Chance has advised the lead managers, HSBC and ING, on the inaugural dim sum bond issued by TMB Bank Public Company Limited (TMB), one of the largest retail banks in Thailand. This represents two market firsts: the first RMB denominated bond issued by a Thai issuer and the first international bond issued by a Thai issuer so far this year.

White & Case LLP has advised a consortium of banks led by Bank of America Merrill Lynch and Citigroup on the placement of a debut Eurobond by Infineon Technologies AG.

Other banks involved included Bayerische Landesbank, BNP Paribas, Commerzbank, Credit Suisse, DZ BANK AG, Erste Group Bank AG, Goldman Sachs International, Helaba, Raiffeisen Bank International, The Royal Bank of Scotland and UniCredit Bank.

Hansa Medical has resolved to perform a rights issue of MSEK 246 before issue costs. The new issue of shares is fully underwritten through subscription and guarantee commitments. The funds raised will be used to finance the company’s future research and development activities. In connection herewith, the company also announced that Hansa Medical’s former majority shareholder, Farstorps Gard has sold some of its holding to certain Swedish and international institutional owners.
